On June 11, 2026, Adyen, a financial technology platform, announced it has entered into a definitive agreement to acquire enterprise billing platform Orb through a reverse triangular merger. Wilson Sonsini Goodrich & Rosati is advising Adyen on the transaction.
Upon closing, Orb will become an indirect, wholly owned subsidiary managed under an incubator model. The total consideration for the transaction is $335 million and is expected to close on July 1, 2026, subject to customary closing conditions.
