Michael O’Brien is an associate in the Austin office of Wilson Sonsini Goodrich & Rosati, where he advises companies of various sizes and maturity on privacy, cybersecurity, and data protection matters. Michael works closely with clients to help them address complex compliance risks and other challenges with respect to their collection, use, and other processing of data. As a transactional lawyer, he also has extensive experience advising clients on privacy, cybersecurity, and data protection matters in the context of mergers, acquisitions, spin-offs, securities offerings, strategic partnerships, data licensing arrangements, vendor agreements, and other types of corporate and commercial transactions.

Prior to joining the firm, Michael served as an in-house privacy and data security counsel for an energy efficiency company, where he managed all privacy and data security-related legal matters, including with respect to commercial negotiations, acquisitions, incident response, and compliance. During law school, he was a judicial extern to the Honorable Yvonne Gonzales Rogers of the U.S. District Court for the Northern District of California.

The International Association of Privacy Professionals has designated Michael as a Certified Information Privacy Professional.

Wilson Sonsini Advises Saturnus Bio on Strategic Collaboration with Merck KGaA, Darmstadt, Germany
On June 23, 2026, Merck KGaA, Darmstadt, Germany, a leading global science and technology company, announced a strategic collaboration with Versant Ventures to launch Saturnus Bio, a next-generation precision cardiology company that utilizes targeted gene modulation to address rare mono-genetic cardiomyopathies with significant unmet need. Wilson Sonsini Goodrich & Rosati advised Saturnus Bio on the transaction.

The research-stage partnership entails a build-to-buy deal structure, including an upfront payment of $50 million from Merck KGaA, Darmstadt, Germany to fund Saturnus Bio’s research activities, securing a minority equity stake in the company, as well as additional success-based preclinical milestones, supporting the development of novel drug candidates for genetic cardiomyopathy patients. Merck KGaA, Darmstadt, Germany has exclusive rights to acquire Saturnus Bio for a pre-determined option payment, in addition to success-based earnouts.
