  • Financing Experience Across the Capital Stack for Clean Energy Projects

    We assist at all levels of debt and equity in the clean energy capital stack at all stages of a project’s life cycle and across the different energy market segments, including residential, distributed-generation, and utility-scale projects. We also help our clients to establish asset-backed lending facilities, working capital facilities, and capital markets securitizations and assist them with tax credit transfer transactions.

  • Specializing in Novel Project Financings

    Our project finance team has been one of the industry pioneers in devising non-dilutive, non-recourse asset financing structures for emerging renewable energy sectors. From structuring the first tax equity transactions for residential and distributed-generation solar portfolios in the 2000s to financing some of the largest standalone energy storage and carbon sequestration projects today, we put together innovative deals for innovative clients. More recently, we have structured some of the first hybrid tax equity transactions.

With focused experience in the clean energy and climate sectors, our project finance and tax credit transactions team represents sponsors, investors, private equity firms, and financial institutions in project financings at all levels of the capital stack over all stages of a project’s life cycle, including tax equity, cash equity, development, construction, term, back-leverage, and mezzanine debt financings, as well as capital markets securitizations, including forward flow financings. Our know-how extends across different market segments, from structuring portfolios of residential or distributed-generation solar or solar-and-storage portfolios to financing some of the largest utility-scale collocated solar and storage, stand-alone storage, wind, and other clean energy projects.

Our project finance team combines market-leading knowledge of project finance with a keen understanding of Sections 45 and 48 of the Internal Revenue Code that provide energy tax credits for qualifying renewable energy facilities such as wind, solar, biomass, and geothermal power plants, as well as Section 28D for qualified solar electric property expenditures and Section 45Q for carbon capture, use, and sequestration.

Wilson Sonsini Advises Zanskar on Close of $40 Million in Novel Development Capital Financing
On April 16, 2026, Zanskar, the first AI-native geothermal energy company, announced the closing of $40 million in a Development Capital Facility. Wilson Sonsini Goodrich & Rosati advised Zanskar on the transaction, which is among the first ever structured for early-stage geothermal development. The financing was co-led by Just Climate and Spring Lane Capital, with additional capital committed by Tierra Adentro Growth Capital.

The Development Capital Facility draws on best practices from the renewables and natural resource sectors, establishing a revolving development credit facility designed to accelerate project development across Zanskar’s growing portfolio. The non-recourse facility covers key pre-construction activities, bridging projects to traditional bank project financing, and is structured to upsize to $100 million as Zanskar’s portfolio scales.

The financing transaction strengthens Zanskar’s ability to commercialize its pipeline of naturally occurring geothermal systems and sets a scalable financing precedent for greenfield geothermal as a recognized asset class across the United States.

Ken has extensive experience in tax equity, tax credit transfers, construction financing, securitizations, and other structured financings, particularly for portfolios of distributed energy resources, and he applies this experience for clients pursuing the development of energy asset classes with commercial, industrial, and institutional customers, as well as community solar and utility-scale energy generators.

Prior to joining the firm, Ken was vice president of legal at Sunrun, where he oversaw all project finance legal matters, including tax equity financings, tax credit sale agreements, securitizations, warehouse facilities, and other complex debt facilities. At Sunrun, Ken led more than 50 tax equity financings totaling over $10 billion, drafting all necessary documents and deliverables and generally managing all legal aspects of such financings. Ken previously served as the company’s deputy general counsel, assistant general counsel, and senior counsel.

Earlier in his career, Ken was senior counsel for global structured and project finance at SunEdison and a project finance associate at Milbank.

Ken has extensive experience in tax equity, tax credit transfers, construction financing, securitizations, and other structured financings, particularly for portfolios of distributed energy resources, and he applies this experience for clients pursuing the development of energy asset classes with commercial, industrial, and institutional customers, as well as community solar and utility-scale energy generators.

Prior to joining the firm, Ken was vice president of legal at Sunrun, where he oversaw all project finance legal matters, including tax equity financings, tax credit sale agreements, securitizations, warehouse facilities, and other complex debt facilities. At Sunrun, Ken led more than 50 tax equity financings totaling over $10 billion, drafting all necessary documents and deliverables and generally managing all legal aspects of such financings. Ken previously served as the company’s deputy general counsel, assistant general counsel, and senior counsel.

Earlier in his career, Ken was senior counsel for global structured and project finance at SunEdison and a project finance associate at Milbank.

Wilson Sonsini Advises Zanskar on Close of $40 Million in Novel Development Capital Financing
On April 16, 2026, Zanskar, the first AI-native geothermal energy company, announced the closing of $40 million in a Development Capital Facility. Wilson Sonsini Goodrich & Rosati advised Zanskar on the transaction, which is among the first ever structured for early-stage geothermal development. The financing was co-led by Just Climate and Spring Lane Capital, with additional capital committed by Tierra Adentro Growth Capital.

The Development Capital Facility draws on best practices from the renewables and natural resource sectors, establishing a revolving development credit facility designed to accelerate project development across Zanskar’s growing portfolio. The non-recourse facility covers key pre-construction activities, bridging projects to traditional bank project financing, and is structured to upsize to $100 million as Zanskar’s portfolio scales.

The financing transaction strengthens Zanskar’s ability to commercialize its pipeline of naturally occurring geothermal systems and sets a scalable financing precedent for greenfield geothermal as a recognized asset class across the United States.
