Wilson Sonsini Advises Cursor on Acquisition of Graphite
On December 19, 2025, Cursor, the leading AI development platform, announced that it has signed a definitive agreement to acquire Graphite, a start-up that uses AI to review code. The financial terms of the deal were not disclosed. Wilson Sonsini Goodrich & Rosati advised Cursor on the transaction.

The transaction brings together best-in-class tools for creating, reviewing, and merging code in the AI age. Graphite will continue to operate independently, with the same team and product. According to Cursor, in the coming months the two companies will explore connecting their products, for instance with tighter integrations between local development and pull requests and smarter code review that learns from both systems.

Wilson Sonsini Advises Intevac on Acquisition by Seagate
On February 13, 2025, Seagate Technology Holdings plc, a leading innovator of mass-capacity data storage, and Intevac, Inc., a supplier of thin-film processing systems, announced that Seagate has entered into a definitive agreement to acquire Intevac in an all-cash transaction for $4.00 per share. Wilson Sonsini Goodrich & Rosati has represented Intevac for decades and advised the company in connection with this acquisition.

In connection with the closing of the transaction, Intevac will pay a one-time special dividend of $0.052 per share. Separately, Intevac’s board of directors has declared a regular quarterly dividend of $0.05 per share, which will be paid on March 13, 2025, to Intevac stockholders of record as of February 28, 2025. The transaction and the special dividend deliver aggregate consideration to Intevac stockholders of $4.052 per share, or $4.102 per share including Intevac’s regular quarterly dividend. This represents a premium of 45 percent to Intevac’s closing price of $2.83 per share on December 11, 2024, one day prior to Intevac’s announcement that it had renewed its focus on pursuing strategic options; a premium of approximately 21 percent to Intevac’s closing price of $3.38 per share on February 12, 2025; and an aggregate value of approximately $119 million, including both dividends.

On January 8, 2025, Transcarent, the “One Place for Health and Care,” and Accolade, a leader in health advocacy, expert medical opinions, and primary care, announced that they have entered into a definitive agreement under which Transcarent will acquire Accolade for $7.03 per share in cash, which represents a total equity value of approximately $621 million. Transcarent will finance the transaction through a fully committed equity financing led by General Catalyst and Glen Tullman’s 62 Ventures. On October 24, 2024, Socure, the leading provider of artificial intelligence for digital identity verification, fraud prevention, and sanction screening, announced that it has signed an agreement to acquire Effectiv, a real-time risk decisioning company, for $136 million. Wilson Sonsini Goodrich & Rosati advised Socure on the transaction.

The strategic acquisition pairs Socure’s best-in-class digital identity verification and fraud solutions with a developer-friendly AI orchestration and decisions platform. With this acquisition, Socure—which serves more than 2,700 customers and has verified more than 2.26 billion identities over the past 12 months—further solidifies its leadership position in the identity verification and fraud prevention market, and is propelled into the $200 billion enterprise fraud industry, which additionally encompasses payments fraud, credit underwriting, and AML transaction monitoring. The transaction is expected to close in November.

On June 18, 2024,  TravelPerk, the hyper-growth global business travel management platform, announced its acquisition of the industry-leading United States company AmTrav, doubling down on its expansion in the U.S. Wilson Sonsini Goodrich and Rosati advised TravelPerk on the transaction.

Both platforms will capitalize on proprietary tech, AI capabilities, and expanded resources to further expand in the U.S. The acquisition will see TravelPerk double its revenue in the U.S., following 65 percent year-over-year growth in the market in 2023. TravelPerk’s U.S.-based headcount and footprint expands to now include offices in Boston, Chicago, Los Angeles, and Miami. AmTrav will operate under the same brand, and the entire team will continue with the business going forward.
