  • Deep Experience in Healthcare Law

For more than 15 years, Andrea has dedicated her practice to healthcare law and regulatory work related to digital health and the use of technology in healthcare.

  • Trusted Thought Leader

Andrea frequently speaks and writes about emerging healthcare and technology topics. She has been quoted by The Wall Street Journal and CNBC on the regulation of Artificial Intelligence (AI) in healthcare and has been a featured speaker, guest, or author in more than 100 conferences, podcasts, and articles on healthcare law.

Andrea Linna is a partner at Wilson Sonsini Goodrich & Rosati, where she is a member of the firm’s digital health industry group and its healthcare practice. With more than 15 years dedicated to healthcare law, Andrea exclusively represents digital health and health tech clients, from emerging companies to established industry players and their venture capital investors.

Andrea’s work spans the full life cycle of a digital health business, from the initial structuring of compliant care delivery structures to assisting with the execution of financings, acquisitions, and exits. She guides her clients through the patchwork of federal and state laws that digital health and health tech companies must navigate to scale and exit successfully. That work includes establishing nationwide management services organization-professional corporation (MSO-PC) structures in compliance with state corporate practice of medicine rules; structuring relationships with referral sources, including analysis of the Anti-Kickback Statute, Stark Law, and state fee splitting rules; establishing reimbursement pathways, including Medicare and Medicaid billing, commercial payor contracting, and value-based care arrangements; and meeting state healthcare delivery requirements related to digital health and health tech, including telehealth, remote patient monitoring, online prescribing, and licensing. As lead regulatory counsel on transactions, she identifies and resolves healthcare regulatory risks, advises on structuring deals to maintain compliance with healthcare laws, and analyzes the growing body of state healthcare transaction notification laws that require governmental notice prior to closing certain healthcare-related transactions.

Andrea advises clients on the use of AI across healthcare delivery and administration, from clinical applications such as AI-enabled mental health chatbots to administrative uses such as clinical documentation, coding, prior authorization, and scheduling. Her work in this area includes the emerging patchwork of state AI healthcare laws; the interplay between AI, the corporate practice of medicine, and professional licensure; patient-facing disclosure and consent requirements; and the allocation of liability among developers and providers.

Prior to joining the firm, Andrea was a partner at McGuireWoods in Chicago and served as co-leader of its digital health, technology, and innovation practice. Before that, she was a partner at Honigman LLP. Andrea frequently speaks and writes about emerging healthcare and technology topics. She has been quoted by The Wall Street Journal and CNBC on the regulation of AI in healthcare and has given guest lectures on healthcare law at Northwestern University's Feinberg School of Medicine and Pritzker School of Law, the University of Michigan School of Public Health, Loyola University School of Law, and The Wharton School of the University of Pennsylvania.

Beyond her professional pursuits, Andrea serves on the Women United Council for the United Way of Metro Chicago, the Executive Leadership Council for the Chicago Alzheimer’s Association, and Springboard Enterprises’ Women’s Health Innovation Council.

Andrea is practicing virtually in Chicago. She is licensed in Illinois, Michigan, and Ohio.

Navigating the Corporate Practice of Medicine: Compliance Essentials and Recent Developments
The corporate practice of medicine (CPOM) doctrine restricts the ability of non-physician entities to employ or engage physicians or direct the practice of medicine in certain states. The CPOM doctrine’s rules, which are anything but uniform, make it a threshold issue for any digital health company with a care delivery component. Join Wilson Sonsini for its semi-annual training for digital health executives, designed to keep them current on both the fundamentals and the latest developments shaping CPOM compliance. Each session addresses the core framework and spotlights what has changed since the last installment, so your team can stay ahead of the fast-moving regulatory landscape.
