With more than 15 years dedicated to healthcare law, Andrea exclusively represents digital health and health tech clients, from emerging companies to established industry players and their venture capital investors.
Andrea’s work spans the full life cycle of a digital health business, from the initial structuring of compliant care delivery structures to assisting with the execution of financings, acquisitions, and exits. She guides her clients through the patchwork of federal and state laws that digital health and health tech companies must navigate to scale and exit successfully. That work includes establishing nationwide management services organization-professional corporation (MSO-PC) structures in compliance with state corporate practice of medicine rules; structuring relationships with referral sources, including analysis of the Anti-Kickback Statute, Stark Law, and state fee splitting rules; establishing reimbursement pathways, including Medicare and Medicaid billing, commercial payor contracting, and value-based care arrangements; and meeting state healthcare delivery requirements related to digital health and health tech, including telehealth, remote patient monitoring, online prescribing, and licensing. As lead regulatory counsel on transactions, she identifies and resolves healthcare regulatory risks, advises on structuring deals to maintain compliance with healthcare laws, and analyzes the growing body of state healthcare transaction notification laws that require governmental notice prior to closing certain healthcare-related transactions.
Andrea advises clients on the use of AI across healthcare delivery and administration, from clinical applications such as AI-enabled mental health chatbots to administrative uses such as clinical documentation, coding, prior authorization, and scheduling. Her work in this area includes the emerging patchwork of state AI healthcare laws; the interplay between AI, the corporate practice of medicine, and professional licensure; patient-facing disclosure and consent requirements; and the allocation of liability among developers and providers.
