Wilson Sonsini Advises QuantWare on $178 Million Series B
On May 5, 2026, QuantWare, a leading industrial quantum processor company, announced a $178 million Series B equity fundraising following the announcement of VIO-40K™, a quantum processor architecture for 10,000 qubits, 100x larger than the state of the art today. New investors joining the round include Intel Capital, IQT, and ETF Partners, with participating existing investors including FORWARD.one and Invest-NL Deep Tech Fund, InnovationQuarter Capital, Ground State Ventures, and Graduate Ventures. The round was heavily oversubscribed and is the largest private round raised by a dedicated quantum processor company to date. Wilson Sonsini Goodrich & Rosati advised QuantWare on the transaction.

QuantWare is the only company that designs, fabricates, and integrates modular quantum processors on an open architecture at an industrial scale. The company is building KiloFab, the world’s largest dedicated quantum open architecture fab, increasing its production capacity by 20x to meet strong global customer demand.

Wilson Sonsini Advises BlackSky on $46 Million Follow-On Offering
On September 27, 2024, BlackSky Technology Inc., a real-time, space-based intelligence company, announced the closing of its previously announced underwritten public offering of 10,000,000 shares of its Class A common stock at a price to the public of $4.00 per share. In addition, the underwriters fully exercised their option to purchase an additional 1,500,000 shares of common stock. BlackSky received total gross proceeds of approximately $46 million from this offering, before deducting the underwriting discounts and commissions and estimated offering expenses payable by BlackSky. All of the shares in the offering were sold by BlackSky. Wilson Sonsini Goodrich & Rosati advised BlackSky on the transaction.

On June 28, 2023, Nextracker Inc. announced that it priced its combined primary (synthetic secondary) and secondary underwritten public offering of 16,500,000 Class A common stock offered by Nextracker and certain selling stockholders, at an offering price of $36.50 per share. In addition, Nextracker granted the underwriters a 30-day option to purchase up to an additional 1,650,000 shares of Class A common stock at the offering price of $36.50, less underwriting discounts and commissions, which the underwriters exercised on June 29, 2023. The offering closed on July 3, 2023.

Wilson Sonsini Advises Onfido on Airside Acquisition
On May 22, 2023, Onfido, a global leader in automated identity verification, announced it has acquired Airside Mobile, Inc., a leader in private, digital identity sharing technology. Airside is the first company to bring user-controlled digital identity to the travel industry; its shareable digital identity technology has been used by over 10 million travelers and is trusted by major U.S. government agencies, including the Transportation Security Administration. Its customers include the world’s largest airlines, who allow passengers to use the innovative Airside Digital Identity App to fast-track their way through U.S. airports. The acquisition has already closed and the general availability of the Onfido products and services based on Airside’s technology will be available later this year.

On May 24, 2023, Insider, an Istanbul-based leading marketing platform for delivering individualized, cross-channel customer experiences, announced an investment of up to $105 million from existing investors Qatar Investment Authority (QIA) and Esas Private Equity. With this latest investment, Insider’s total funding amount reaches $274 million. The funds will be used exclusively to accelerate Insider’s M&A strategy to build upon the company’s existing technology and capabilities.

On February 8, 2023, Flex Ltd. announced that its subsidiary, Nextracker Inc., priced its upsized initial public offering of 26,600,000 shares of its Class A common stock at an initial public offering price of $24 per share. The common stock began trading on the Nasdaq Global Select Market under the ticker symbol "NXT" on February 9, 2023 and the offering is expected to close on February 13, 2023, subject to customary closing conditions. In addition, Nextracker granted the underwriters a 30-day option to purchase up to an additional 3,990,000 shares of common stock at the initial public offering price, less underwriting discounts and commissions, which the underwriters exercised on February 9, 2023. Wilson Sonsini Goodrich & Rosati is representing the underwriters in the transaction.

J.P. Morgan, BofA Securities, Citigroup, and Barclays are acting as joint lead book-running managers for the offering. Truist Securities, HSBC, BNP PARIBAS, Mizuho, Scotiabank, and KeyBanc Capital Markets are acting as joint book-running managers for the offering.
