• Advised Clearway on its acquisitions of Catalina Solar facility and Deriva Energy’s solar portfolio.
• Advised leading power producer in a $298 million purchase of a project company that owns a 500+ MW utility-scale solar plus storage facility. The scope of work included diligence and negotiation of the purchase agreement and an acquisition and development financing facility for the project.
• Represented On.Energy in the acquisition and financing of energy storage project portfolios in Texas and California. The scope of work included diligence and negotiation of the purchase agreement and the construction and tax equity financing.
• Advised On.Energy on $77.6 million construction credit agreement with Pathward, BridgePeak.
• Advised Crysalis on a $15 million loan facility in connection with the expansion of its sustainable aviation fuel manufacturing facility financed by Burnham Sterling Asset Management LLC.

• Advised Cloverleaf, a developer of large-scale digital infrastructure sites powered by low-carbon electricity, on $300 million capital raise from NGP and Sandbrook Capital.

• Represented On.Energy in its $25 million senior secured first lien facility with Lombard Odier Investment Managers.
• Represented Ambient Fuels in its private equity transaction with Generate Capital, which includes a commitment to fund up to $250 million of green hydrogen infrastructure.
• Represented Eneus Energy, a green ammonia developer, in a strategic equity investment transaction with Carlyle and GIC.
• Represented Meridian Clean Energy in structuring a joint venture with Climate Adaptive Infrastructure, which acquired a 25 percent interest in the Sentinel Energy Center.
• Represented Ebb Carbon in its $20 million Series A equity financing, with Evok Innovations and Prelude as the lead investors.
• Represented On Energy Storage in its $20 million Series B equity financing round led by Ultra Capital.
• Represented Spring Lane Capital in a debt facility with Spring Free EV, Inc. to finance the purchase of electric vehicles.
• Advised a sustainable aviation fuel developer in connection with its $25,000,000 equity financing and the purchase of an ethanol facility to be retrofitted into a $200 million Sustainable Aviation Fuel facility.
• Advised a commercial lender in connection with development loans in an aggregate amount of approximately $92.5 million to multiple renewable energy developers.
• Represented Ember Infrastructure in a joint venture with Caban Systems Inc. to develop, construct, operate and maintain certain energy as a service telecommunications storage projects in North and South America.
• Represented Goldman Sachs Renewable Power in its purchase of multiple commercial and industrial solar and solar plus storage projects from SunPower.
• Represented SB Energy in the purchase of 3 utility scale solar projects in Milam County, Texas.
• Represented Industrial Sun, a utility scale solar developer, in a $30,000,000 private equity transaction with Modern Energy.
• Represented Delorean Power, a utility scale storage developer, in a $20,000,000 private equity transaction with Greenbacker Capital Management.
• Represented Ember Infrastructure in a senior secured growth credit facility and convertible debt placement in Caban Systems, Inc., to fund Caban's working capital needs and identified growth and scale initiatives to accelerate.
• Represented Siemens Financial Services Inc. and Siemens Industry, Inc. in a joint venture with Calibrant (Macquarie GIG) that offers comprehensive onsite Energy as a Service (EaaS) solutions at no up-front cost for its customers, which include corporate and industrial clients, as well as municipalities, universities, schools and hospitals.
• Advised Kairos Power in the formation of a strategic collaboration with Materion Corporation to develop a reliable and cost-effective supply of salt coolant for Kairos' fluoride salt-cooled, high-temperature nuclear reactors.
