Wilson Sonsini Advises QuantWare on $178 Million Series B
On May 5, 2026, QuantWare, a leading industrial quantum processor company, announced a $178 million Series B equity fundraising following the announcement of VIO-40K™, a quantum processor architecture for 10,000 qubits, 100x larger than the state of the art today. New investors joining the round include Intel Capital, IQT, and ETF Partners, with participating existing investors including FORWARD.one and Invest-NL Deep Tech Fund, InnovationQuarter Capital, Ground State Ventures, and Graduate Ventures. The round was heavily oversubscribed and is the largest private round raised by a dedicated quantum processor company to date. Wilson Sonsini Goodrich & Rosati advised QuantWare on the transaction.
QuantWare is the only company that designs, fabricates, and integrates modular quantum processors on an open architecture at an industrial scale. The company is building KiloFab, the world’s largest dedicated quantum open architecture fab, increasing its production capacity by 20x to meet strong global customer demand.

CMA Drives On with New Consumer Protection Powers: CMA Secures Consumer Refunds and Issues Fines over Drip Pricing
On April 15, 2026, the UK Competition and Markets Authority (CMA) issued a Final Infringement Notice to two major UK driving-school businesses owned by British motoring association, the AA. The notice—which was issued following a settlement with the AA—marks the CMA’s first direct enforcement action for a substantive breach of consumer law under the UK’s new enforcement regime. The investigation, opened in November 2025, concluded swiftly. The CMA ordered the AA to refund more than £760,000 (approximately $1 million) to its customers and pay a fine of £4.2 million (approximately $5.7 million) for “drip” pricing practices, representing the first use of the CMA’s new powers to impose direct fines and order consumer redress for breaches of UK consumer law.

On March 24, 2026, Octopus Energy Group, a global clean energy and technology business driving the affordable, green energy system of the future, will cement its expansion in the U.S. by acquiring a majority stake in Uplight, a leading provider of customer engagement and flexibility management solutions that rapidly transform customer participation into dependable grid capacity. The deal is made in partnership with Schneider Electric, a global energy technology leader trusted by utilities worldwide, which will remain as a significant minority partner. On January 6, 2026, OneStream, the leading enterprise finance management platform, announced that it has entered into a definitive agreement to be acquired by Hg, a leading investor in software, services, and data businesses. The all-cash transaction values OneStream at approximately $6.4 billion in equity value. Wilson Sonsini Goodrich & Rosati advised OneStream on this transaction in a continuation of its long-standing advisory relationship with the company, including leading OneStream’s Up-C IPO in July 2024.

Firm Advises Katjes International on Proposed Acquisition of Graze from Unilever
Wilson Sonsini’s London-based M&A team is pleased to have advised Katjes International (through its subsidiary Future Snacks Ltd.) in connection with the entry into an SPA to acquire 100 percent of the shares in Nature Delivered Ltd. (Graze) as well as the “Graze” brand from Unilever. The transaction is structured as a carve-out from Unilever and includes the full brand and product portfolio, the transfer of around 200 employees, and a production facility in London.

Price Check: The UK’s New Consumer Protection Push
The UK’s antitrust and consumer agency—the Competition and Markets Authority (CMA)—has announced its first enforcement actions under the country’s new consumer protection regime. On November 18, 2025, the CMA opened eight investigations into various pricing practices, issued advisory letters to 100 businesses across 14 sectors, and published new price transparency guidance. The actions send a clear message: the CMA is ready to deploy its new, enhanced powers to tackle business practices that it believes are the most harmful to consumers.
