Wilson Sonsini Advises Denali Therapeutics on $200 Million Public Offering
On December 10, 2025, Denali Therapeutics, a biopharmaceutical company focused on therapies for neurodegenerative and lysosomal storage diseases, announced the pricing of its underwritten public offering of 9,142,857 shares of its common stock at a price to the public of $17.50 per share and, in lieu of common stock to certain investors, pre-funded warrants to purchase 2,285,714 shares of common stock at a price of $17.49 per pre-funded warrant, which represents the per share public offering price of each share of common stock less the $0.01 per share exercise price for each pre-funded warrant. All of the shares and pre-funded warrants are to be sold by Denali Therapeutics. Denali Therapeutics expects to receive total gross proceeds of approximately $200 million before deducting underwriting discounts and commissions and other offering expenses and excluding any exercise of the underwriters’ option to purchase additional shares. On October 16, 2024, Treehouse, a software-enabled installation platform for electrification projects, announced $16.6 million in Series A funding. The financing was led by Flourish Ventures, with participation from Eaton, MassMutual Ventures, Veriten, and InVest and continuing participation from CarMax, Montage Ventures, Acrew Capital, Virta Ventures, Holman, Alumni Ventures, and Invest Detroit. With this funding, Treehouse will expand its operating footprint nationally to help automotive OEMs, utilities, fleet managers, and electrification hardware manufacturers launch scaled electrification programs. Wilson Sonsini Advises Box on $460 Million Convertible Senior Notes Offering
On September 20, 2024, Box, Inc., a leading intelligent content cloud, completed an offering of $460 million aggregate principal amount of 1.5% convertible senior notes due 2029 in a private placement. The offering amount included the exercise in full of the option that Box had granted to the initial purchasers to purchase up to an additional $60 million of notes. In connection with the offering, Box entered into privately negotiated capped call transactions with certain of the initial purchasers or their respective affiliates and other financial institutions. On August 9, 2023, Treehouse, an electrification company that delivers turnkey installations for home EV charging, announced it has secured $10 million in funding. The round was led by Montage Ventures and Trucks Venture Capital, with participation from CarMax, Assurant Ventures, Acrew Capital, Gutter Capital, Detroit Venture Partners, Holman, and Automotive Ventures. Treehouse’s mission is to simplify electrification through software-enabled Installation-as-a-Service, empowering people to live more sustainable lives and accelerating the decarbonization of the places we live and work. The funds from the round will be used to expand Treehouse's Installation-as-a-Service offering to more than 30 states in the next 12 months, while investing in software that can expand the offering to other electrification products.

Wilson Sonsini Advises GeoPhy on $85 Million Acquisition by Walker & Dunlop
On February 7, 2022, Walker & Dunlop announced it has entered into a definitive agreement to acquire GeoPhy, a leading commercial real estate technology company. GeoPhy's data analytics and development capabilities will dramatically accelerate the growth of Walker & Dunlop's lending, brokerage, and emerging businesses including Apprise, its tech-enabled appraisal business and its small balance lending (SBL) platform. Under the terms of the purchase agreement, Walker & Dunlop will acquire GeoPhy for $85 million in cash to be paid at closing with an additional $205 million of cash earn-out potential structured to directly align with Walker & Dunlop's "Drive to '25" goals surrounding growth in appraisal revenues, SBL volumes, and mortgage banking gains, as detailed in the company press release.
