Wilson Sonsini Advises Freenome on IP Matters Related to Business Combination, Public Company Launch
On July 20, 2026, Freenome Holdings, Inc. (Freenome), an early cancer detection company developing blood-based screening tests, announced the closing of its previously announced business combination with Perceptive Capital Solutions Corp. (PCSC). The combined company is renamed Freenome, Inc., and its common stock commenced trading on the Nasdaq Capital Market on July 21, 2026, under the new ticker symbol “FRNM.” Wilson Sonsini Goodrich & Rosati advised Freenome on IP matters related to the transaction.

Freenome's Personalized Cancer Detection (PCD) approach to screening combines multiomic blood-based tests with integrated digital solutions to help providers identify eligible patients and deliver guideline-based screening for each individual based on their health profile. The company will use the proceeds from this transaction to support its mission of making early cancer detection simple, accessible, and personalized.

On July 6, 2026, Vertex Pharmaceuticals and Crinetics Pharmaceuticals, a global pharmaceutical company focused on the discovery, development, and commercialization of novel therapeutics for endocrine diseases, announced that the companies have entered into a definitive agreement under which Vertex will acquire Crinetics for $85.00 per share in cash, for a total equity value of approximately $10 billion, or approximately $8.8 billion net of estimated cash acquired. U.S. Supreme Court Addresses Liability for Patent Infringement by Generic Pharmaceuticals
In a unanimous opinion by Justice Ketanji Brown Jackson, the U.S. Supreme Court held that Amarin, the developer of Vascepa® (reference listed drug), failed to plausibly allege that Hikma actively induced infringement of Amarin’s method of use patents based on Hikma’s statements and materials related to its generic version of Vascepa®, reversing the decision by the U.S. Court of Appeals for the Federal Circuit (Federal Circuit). Although much of the import of this decision will not be fully understood until lower courts interpret this ruling, the Supreme Court provided guidance regarding one of the requirements for alleging a claim for induced patent infringement—one must plausibly allege that the defendant actively encouraged infringing use, not merely whether others could plausibly read statements by the defendant as instructions to infringe.

On June 4, 2026, Ona Therapeutics, a global biopharmaceutical company pioneering first-in-class antibody-drug conjugates (ADCs) to address treatment-resistant cancers, announced the closing of an oversubscribed $86.6 million Series B financing. The round was co-led by new investors Columbus Venture Partners and Mérieux Equity Partners, with participation from additional investors COFIDES and Korys, alongside all existing investors Alta Life Sciences, Asabys Partners, Bpifrance, as part of the InnoBio investment strategy, CDTI through SICC Innvierte, FundPlus NV, and Ysios Capital. Wilson Sonsini Goodrich & Rosati advised Ona Therapeutics on IP matters related to the transaction.

The proceeds from the Series B will be used to advance the clinical development of Ona’s lead program, ONA-255, a first-in-class ADC initially focused on breast cancer, and to progress ONA-389, a second first-in-class ADC targeting colorectal cancer. ONA-255 is designed to address treatment-resistant tumor biology through a differentiated mechanism aimed at improving the therapeutic index compared to earlier approaches. ONA-389 will advance toward first-in-human studies, expanding Ona’s pipeline in indications with significant unmet need. Ona currently retains full worldwide commercial rights to all its assets.
