Federal Court Doesn’t “Like” FTC Claim That Meta Is a Monopolist
The Federal Trade Commission (FTC) has lost its long-running suit contending that Meta Platforms monopolized a “personal social networking” (PSN) market by acquiring Instagram and WhatsApp, two acquisitions that the FTC had previously reviewed and declined to challenge. Judge James Boasberg of the Federal District Court for the District of Columbia held first, as a matter of law, that the relevant question was whether Meta has market power now, rather than when the suit was filed five years ago. Second, the court found that the FTC had failed to prove its relevant market (which the FTC alleged was essentially limited to Facebook, Instagram, and Snapchat) and that, when competitors such as TikTok and YouTube were included, Meta lacked monopoly power.

Firm Advises Clearway on Acquisitions of Catalina Solar Facility and Deriva Energy’s Solar Portfolio
On October 6, 2025, Clearway Energy, Inc., one of the largest owners of clean energy generation assets in the U.S., announced that it has entered into a binding agreement to acquire a 613MWac portfolio of operating solar assets from Deriva Energy spanning eight states. Clearway also recently announced its acquisition of the 109 MW Catalina Solar facility in Kern County, California.  Wilson Sonsini Goodrich & Rosati advised Clearway on the transactions.

Last month’s Fordham Competition Law Institute’s 52nd Annual Conference on International Law and Policy plus Antitrust Economics Workshop offered a chance for leaders at the U.S. Department of Justice (DOJ) Antitrust Division and the Federal Trade Commission (FTC) to set out their vision.

The Trump FTC Takes New Action Against Non-Competes, While Abandoning Defense of the Biden-Era Non-Compete Clause Rule
Demonstrating its focus on challenging non-competes through case-by-case enforcement, the Federal Trade Commission (FTC) recently undertook a series of actions. It announced a consent decree requiring Gateway Memorial Pet Services (Gateway), the largest pet cremation business in the United States, to immediately cease enforcement of non-compete agreements that the FTC alleged “limit [employee] job mobility and the ability to negotiate better wages and benefits."1 Along with that action, the FTC also issued a broad Request for Information (“RFI”), inviting members of the public to provide information on non-compete agreements that they themselves may be subject to or have knowledge regarding so the FTC can investigate further and bring enforcement action as appropriate. The following day, the FTC announced it would abandon its appeals in Ryan, LLC v. FTC, No. 24-10951 (5th Cir.), and Properties of the Villages v. FTC, No. 24-13102 (11th Cir.), and to accede to the order in Ryan setting aside the Biden-era Non-Compete Clause Rule.

New York Requires Disclosures for Personalized Pricing
In May 2025, New York State Governor Hochul signed Part X of New York’s annual budget, titled, “Personalized Pricing Transparency and Anti-Discrimination.” Part X, which took effect on July 8, 2025, sets disclosure requirements for the use of algorithmic pricing and prohibits the use of certain consumer data to set prices.
