On May 7, 2026, Odyssey Therapeutics, a clinical-stage biopharmaceutical company seeking to transform the standard of care for patients suffering from autoimmune and inflammatory diseases by developing medicines that are designed to precisely target disease pathology, announced the pricing of its upsized initial public offering of 15,500,000 shares of its common stock at an initial public offering price of $18.00 per share. In addition, Odyssey has granted the underwriters a 30-day option to purchase up to an additional 2,325,000 shares of common stock at the initial public offering price, less underwriting discounts and commissions. Odyssey’s common stock began trading on the Nasdaq Capital Market on May 8, 2026, under the ticker symbol “ODTX.” The offering closed on May 11, 2026. Wilson Sonsini Advises ImmunityBio on Execution of $80 Million Equity Financing
On July 25, 2025, ImmunityBio, a biotechnology company developing therapies that bolster the natural immune system to defeat cancers and infectious diseases, announced it has executed financing to provide further working capital and support its ongoing business operations. The company entered into a securities purchase agreement for a registered direct offering with two institutional investors, providing for the issuance of common stock of ImmunityBio as well as warrants for the purchase of additional shares of common stock of ImmunityBio that is expected to result in gross proceeds at closing of approximately $80 million before deducting placement agent fees and other offering-related expenses, subject to customary closing conditions. If fully exercised, the warrants could result in additional gross proceeds of up to approximately $96 million. Wilson Sonsini Goodrich & Rosati advised ImmunityBio on the transaction.

On January 2, 2024, ImmunityBio, Inc., a clinical-stage immunotherapy company announced an up to $320 million royalty financing and equity investment in the company by Oberland Capital, with $210 million of gross proceeds received at closing on December 29, 2023. The additional capital provides significant financial resources for ImmunityBio to accelerate its commercialization efforts in anticipation of a potential regulatory approval, as well as to expand its pipeline within the broader urological cancer space. Octant also announced it has established a Deep Mutational Scanning (DMS) biopharma partnership with Bristol Myers Squibb, and has appointed biotech industry veteran Dean “Rick” Artis as its first chief scientific officer and renowned scientist Feng Zhang to its scientific advisory board. Wilson Sonsini Advises ABL Bio on Global Collaboration, License Agreement with SANOFI
On January 11, 2022, ABL Bio, Inc., a clinical-stage biotech developing bispecific antibody technology for immuno-oncology and neurodegenerative diseases, announced an exclusive collaboration and worldwide license agreement with SANOFI to develop and commercialize ABL301, a pre-clinical stage bispecific antibody targeting alpha-synuclein and IGF1R to treat Parkinson's disease and other potential indications with enhanced blood-brain barrier (BBB) penetration. Under the terms of the agreement, ABL will receive $75 million in upfront payments. In addition, ABL is eligible to receive up to $985 million based on the achievement of predefined development, regulatory and commercialization milestones, including $45 million in near-term milestones. ABL is also eligible to receive royalties on net sales if the product from the collaboration is commercialized. The transaction will become effective after customary closing conditions are met, such as the HSR clearance. SANOFI will receive worldwide exclusive development and commercialization rights to ABL301. Meanwhile, ABL will lead the preclinical development and Phase 1 clinical trial of ABL301. Thereafter, SANOFI will be responsible for further clinical development, regulatory approval and commercialization of ABL301 worldwide.

On December 22, 2021, Sorriso Pharmaceuticals, a biotechnology company advancing a pipeline of disease-modifying antibodies for the treatment of inflammatory disease, including Crohn's disease and ulcerative colitis, announced the company has closed on a $31 million Series A financing. The round was co-led by New Enterprise Associates (NEA) and Arix Bioscience plc. The new funding will be used to advance its pipeline of novel oral antibodies to address unmet needs in immune-mediated diseases.
