    TJ advises entrepreneurs on formation, equity structures, financing transactions, and day-to-day corporate governance while also representing a broad range of investors.

  • Entrepreneurial and Operational Expertise

    Prior to law school, TJ led product operations and business development at multiple venture-backed start-ups, including one acquired by a NYSE-listed company, giving her a hands-on understanding of the challenges and opportunities her clients face.

  • Cross-Border Deal Experience

    TJ has extensive experience working with non-U.S. companies and investors seeking to relocate to, invest in, or raise capital in the U.S. Early in her career, TJ spent time in Asia. She also speaks fluent Mandarin Chinese. 

TJ Tingjie Li is a corporate and securities law attorney in the Palo Alto office of Wilson Sonsini Goodrich & Rosati, where she advises companies through all stages of growth. She partners closely with entrepreneurs, providing strategic counseling on financing transactions and other day-to-day corporate governance matters. TJ also has significant experience advising investors at various sizes and stages of investment.

Before joining Wilson Sonsini, TJ was a foreign legal consultant at another leading international firm, where she handled complex transactions and regulatory matters. She also led product operations and business development initiatives at multiple startups, including one that was acquired by a NYSE-listed company.

While pursuing her J.D.-M.B.A. at Northwestern's Pritzker School of Law and Kellogg School of Management, TJ worked as a summer associate in Goldman Sachs’ Investment Management Division in San Francisco. She also supported Twilio’s legal department as an in-house legal intern at its San Francisco office.

TJ has worked in the firm’s Shanghai office, advising on cross-border venture capital, private equity, and capital markets transactions. She speaks fluent Mandarin and leverages her international experience to assist clients navigating cross-border deals and global market expansion.

The oversubscribed Series E round was led by Vista Equity Partners and Cambium Capital, with strong participation from Intel Capital. Wilson Sonsini Advises Siemens Financial Services on Terra CO2’s $124.5 Million Series B
On July 2, 2025, Terra CO2 (Terra), a leading U.S.-based low-carbon building materials company, announced its Series B funding, securing $124.5 million in new equity capital. In addition to the Series B co-leads Breakthrough Energy Ventures, Eagle Materials, GenZero, and Just Climate, the round included major investment from Barclays Climate Ventures. Additional strategic investors to join the round included Prologis, Cemex, and Siemens Financial Services. In addition to the equity raise, Silicon Valley Bank, a division of First Citizens Bank, and Stifel Bank co-led the provision of a credit facility furnishing Terra additional financial flexibility. The funding will also support expanding Terra’s offices and industrial facilities. Wilson Sonsini Goodrich & Rosati advised Siemens Financial Services on the transaction.
