Benjamin (Ben) Edwards is Senior Of Counsel at Wilson Sonsini Goodrich & Rosati, where he advises clients on corporate governance matters, with a particular focus on providing guidance to Nevada-incorporated companies.
Additionally, Ben serves as Associate Dean for Faculty Development and Research and Professor of Law at the William S. Boyd School of Law at the University of Nevada, Las Vegas (UNLV), where he focuses on research and writing in business and securities law and corporate governance. Ben has made significant contributions to the development of Nevada’s corporate law and its infrastructure.
Ben is a member of the Corporate Laws Committee of the American Bar Association. This committee has jurisdiction over the Model Business Corporation Act, which is followed in whole or in part by a majority of states.
A highly respected voice in his field, Ben is a prolific author whose writing has been featured in numerous law journals as well as prestigious publications such as The Wall Street Journal, The Hill, The Washington Post, and Bloomberg Law. He is also an editor and frequent contributor to the Business Law Professor blog.
Before entering academia, Ben practiced in the New York office of Skadden, Arps, Slate, Meagher & Flom LLP, where he represented clients in complex civil litigation, including securities class actions arising out of the Madoff Ponzi scheme and matters connected to the 2008 financial crisis.
Earlier in his career, Ben clerked for the Honorable Samuel H. Mays, Jr. at the U.S. District Court for the Western District of Tennessee.
Ben practices virtually in Nevada. He is licensed in Nevada, Michigan, and New York.
