On September 12, 2025, Planet Labs, PBC, completed an upsized offering of $460 million aggregate principal amount of convertible senior notes due 2030, in a private transaction. The offering amount included the exercise in full of the option that Planet Labs had granted to the initial purchasers to purchase up to an additional $60 million of notes. In connection with the offering, Planet Labs entered into privately negotiated capped call transactions with an affiliate of one of the initial purchasers and certain other financial institutions. On September 8, 2025, Electric Hydrogen, a U.S. manufacturer of advanced electrolyzers, announced it has acquired Ambient Fuels, a leading hydrogen project developer. Adding Ambient Fuels’ deep development expertise and portfolio of U.S. project sites will expand Electric Hydrogen’s ability to partner with customers on co-development of hydrogen projects and provide dedicated capital resources where appropriate. As part of the transaction, Electric Hydrogen also entered into a strategic relationship with Generate Capital, a leading infrastructure investment platform and former investor in Ambient Fuels, to offer up to $400 million in hydrogen project finance solutions around the globe. Wilson Sonsini Advises Siemens Financial Services on Terra CO2’s $124.5 Million Series B
On July 2, 2025, Terra CO2 (Terra), a leading U.S.-based low-carbon building materials company, announced its Series B funding, securing $124.5 million in new equity capital. In addition to the Series B co-leads Breakthrough Energy Ventures, Eagle Materials, GenZero, and Just Climate, the round included major investment from Barclays Climate Ventures. Additional strategic investors to join the round included Prologis, Cemex, and Siemens Financial Services. In addition to the equity raise, Silicon Valley Bank, a division of First Citizens Bank, and Stifel Bank co-led the provision of a credit facility furnishing Terra additional financial flexibility. The funding will also support expanding Terra’s offices and industrial facilities. Wilson Sonsini Goodrich & Rosati advised Siemens Financial Services on the transaction.

On June 12, 2025, XGS Energy and Meta Platforms announced an agreement to support development of 150 MW of next-generation geothermal energy in New Mexico. This initiative aims to provide reliable, clean electricity to support Meta's data center operations, utilizing XGS Energy's proprietary geothermal technology, which enables geothermal power production with zero operating water use. By decoupling geothermal energy production from its historical dependence on natural water resources,  the company’s technology dramatically expands the opportunities for geothermal power.  Wilson Sonsini advised XGS Energy on the transaction.
