Firm Advises Jolt Software on Acquisition by Digi International
On August 18, 2025, Digi International Inc., a leading global provider of business and mission-critical Internet of Things (IoT) products, services, and solutions, announced its acquisition of Jolt Software, Inc., a leading solutions provider to the convenience store and food and beverage industries. Wilson Sonsini Goodrich & Rosati advised Jolt Software on the transaction.

The acquisition marks a significant milestone for Digi’s SmartSense® business in advancing operational intelligence and compliance automation across foodservice, grocery, convenience, healthcare, and other verticals. It supports Digi’s strategy to expand annual recurring revenues (ARR) through high-value, scalable subscription offerings. Jolt will be integrated into SmartSense and will report results as part of the IoT Solutions segment.

On May 6, 2025, Weave, a Lehi, UT-based provider of a customer experience and payments software platform, announced that it had entered into a definitive agreement to acquire TrueLark, a Palo Alto, CA-based provider of an AI-powered receptionist and front-desk automation platform. Wilson Sonsini Goodrich & Rosati advised Weave on the transaction.

Wilson Sonsini Advises Alianza on Acquisition of Metaswitch
On March 4, 2025, Alianza, Inc., the world’s first cloud-orchestrated, AI-powered communications platform dedicated to service providers, announced the completion of its acquisition of Metaswitch from Microsoft, executing on the Definitive Agreement announced in December 2024. Financing of the transaction was provided by existing Alianza investors and a syndicate of commercial banks led by Wells Fargo. Wilson Sonsini Goodrich & Rosati advised Alianza on the transaction.

The combined offerings of Metaswitch and Alianza will enable service providers to close a massive gap in their ability to grow services revenue and improve operational efficiency by modernizing core networks, unlocking new innovative offerings, and ultimately transforming network operations. With the close of this transaction, Alianza will serve a combined customer base of more than 1,000 communication service providers, including 19 of the top 20 global operators. Alianza will continue to support Metaswitch’s existing product offerings while integrating its cloud-native technology into a unified product portfolio.

Wilson Sonsini Advises Alleviant Medical on $90 Million Financing
On January 14, 2025, Alleviant Medical, Inc., a privately held medical device company developing a no-implant atrial shunt for heart failure, announced a $90 million financing to fund its second pivotal trial. Led by Glide Healthcare, the round also adds Omega Funds and includes participation from existing shareholders S3 Ventures, RiverVest Venture Partners, Vensana Capital, Longview Ventures, Gilmartin Capital, TMC Venture Fund, and undisclosed strategic investors. Wilson Sonsini Goodrich & Rosati advised Alleviant on the transaction.

The new pivotal trial, ALLAY-HFrEF, will be the first prospective sham-controlled trial focused on patients with heart failure and reduced ejection fraction (HFrEF) in the atrial shunt space. Alleviant will be the only atrial shunt company to have ongoing clinical trials for the full spectrum of heart failure. The company’s first pivotal trial (ALLAY-HF), evaluating the Alleviant System’s safety and efficacy in patients with heart failure and preserved ejection fraction (HFpEF), is on track to finalize enrollment within the next year. The new trial will expand investigation to patients with the other primary form of heart failure, those with reduced ejection fraction (HFrEF).
