Firm Secures Judgment for TikTok and ByteDance in Data Privacy Class Action
On December 24, 2024, Judge Stanley Blumenfeld of the Central District of California granted summary judgment in favor of Wilson Sonsini's clients, TikTok Inc. and ByteDance Inc. The lawsuit, originally filed in May 2023, concerned allegations of illegal data collection by online advertisers using the Pixel, a web tool advertisers can install on web pages to collect certain browsing information. Such data, when matched to TikTok users, can be used to improve ad performance. The plaintiffs, three individuals who had never had TikTok accounts, claimed that TikTok violated their privacy, intercepted and eavesdropped on their communications with websites under the California Invasion of Privacy Act and the Electronic Communications Privacy Act, and stole their property.

Mark Yohalem Elected to the American Academy of Appellate Lawyers
Wilson Sonsini litigation partner Mark Yohalem was elected as a member of the American Academy of Appellate Lawyers at the Academy’s recent board of directors meeting.

The American Academy of Appellate Lawyers was founded in 1990 to recognize outstanding appellate lawyers and promote the improvement of appellate advocacy and the administration of the appellate courts. Academy membership is limited to 500 members in the United States and is open only to those who possess a reputation of recognized distinction as an appellate lawyer. Candidates for membership must be nominated and seconded by current Academy Fellows, reviewed and recommended by a Membership Screening Committee, and elected at an Academy board of directors meeting.

Mark’s reputation as an appellate specialist has previously been recognized by the California Academy of Appellate Lawyers (to which he was inducted in 2022) and Chambers USA, in which he is highly ranked. Clients surveyed by Chambers recognized that Mark “truly excels in storytelling and advocacy” and is “wonderful strategically” and “incredibly smart,” with “the rare ability to convert brilliant analysis of extremely complex business cases into clear and simply stated briefs and oral arguments.” He has argued more than 50 appeals in federal and state court, twice before en banc panels of the Ninth Circuit. Before entering private practice, he served as the Deputy Chief of Appeals at the U.S. Attorney’s Office for the Central District of California, and as a law clerk to Justice Anthony M. Kennedy of the U.S. Supreme Court and Judge Pamela Ann Rymer of the Ninth Circuit.

Delaware Court of Chancery Issues Important Ruling for Multi-Class Companies Addressing Class Votes
Earlier today, Vice Chancellor J. Travis Laster of the Delaware Court of Chancery issued an important ruling concluding that two companies with multiple classes of common stock were not required, under the Delaware statute, to obtain separate class votes of their stockholders in order to amend their certificates of incorporation to provide for exculpation of their officers.1 Those charter amendments took advantage of the recent amendments to the Delaware General Corporation Law (the DGCL) permitting Delaware corporations to provide in their certificates of incorporation that, akin to protections long afforded to directors, specified officers of the corporation can be protected from monetary liability for certain breaches of fiduciary duty—specifically, direct, though not derivative, claims by stockholders asserting a breach of the duty of care. Today’s ruling, pending any appeal, is good news for dual-class companies seeking to amend their charters to implement officer exculpation and will also have broader implications for private and public companies assessing whether to seek a class or series vote of stockholders for other charter amendments. Wilson Sonsini is representing one of the defendant companies in the case.

Pro Bono Team Secures Deferral of Removal for Client from Nigeria
On October 3, 2022, a Wilson Sonsini pro bono team led by Of Counsel Ariel Anaba secured deferral of removal for Jon (not his real name), a Nigerian immigrant who had served a substantial federal sentence and was set to be deported from the United States. Jon is bisexual, and in light of Nigeria’s hostility toward LGBTQ+ individuals, a decision sending him back to his native country would have been catastrophic.

Ariel, along with partner Mark Yohalem, initially took on the representation of Jon in 2017, before joining Wilson Sonsini. Over the next five years, she succeeded first in the Ninth Circuit, then in the Board of Immigration Appeals (BIA), and then before the Immigration Judge (IJ). After convincing the Ninth Circuit and BIA to reopen the case, the core challenge was to convince the IJ that Jon was bisexual, notwithstanding his having spent his life in the closet (such that he essentially had no corroborative evidence) and his having been convicted of fraud. Ariel’s written work and oral advocacy presented the story of Jon’s life in a way that rang with truth, and in the case’s final stage, Callie Davidson became involved to conduct Jon’s direct examination, which went extremely well.  

As a result of the October 3 victory, Jon will not be sent back to be tortured and killed in Nigeria.

In addition to Ariel, Mark, and Callie, the Wilson Sonsini pro bono team that assisted Jon in the matter included John Roberts, Katie Obermiller, Kristijonas Rastauskas, Diana Lopez, and Tatiana Thomas.
