The transaction includes the purchase of Kiavi’s balance sheet assets by a joint venture between Figure and Sixth Street, a leading global investment firm, who is buying loans off Kiavi’s balance sheet. Wilson Sonsini Advises Cursor on Acquisition of Graphite
On December 19, 2025, Cursor, the leading AI development platform, announced that it has signed a definitive agreement to acquire Graphite, a start-up that uses AI to review code. The financial terms of the deal were not disclosed. Wilson Sonsini Goodrich & Rosati advised Cursor on the transaction.

The transaction brings together best-in-class tools for creating, reviewing, and merging code in the AI age. Graphite will continue to operate independently, with the same team and product. According to Cursor, in the coming months the two companies will explore connecting their products, for instance with tighter integrations between local development and pull requests and smarter code review that learns from both systems.

Wilson Sonsini Advises Scale AI on $14.35 Billion Investment from Meta
On June 12, 2025, Scale AI, Inc., the humanity-first AI company, announced a $14.35 billion investment from Meta Platforms, Inc. that values Scale at over $29 billion. The agreement will also substantially expand Scale and Meta’s commercial relationship to accelerate deployment of Scale’s data solutions. Wilson Sonsini Goodrich & Rosati is advising Scale on the transaction.

In addition, Scale’s founder, Alexandr Wang, is joining Meta to work on Meta’s AI efforts. He will continue to serve as a director on Scale’s board of directors and support Scale’s ongoing work to unlock the power of AI and keep human values at the forefront.

Scale will distribute proceeds from Meta’s investment to Scale shareholders and vested equity holders, providing them with substantial liquidity as well as the opportunity to continue participating in Scale’s success as ongoing equity holders of the company. Following its investment, Meta will hold a minority of Scale’s outstanding equity.

On February 26, 2025, Marqeta, the global modern card issuing platform that enables embedded finance solutions for the world’s innovators, and TransactPay, a BIN Sponsorship provider that is licensed as an E-Money Institution (EMI) to issue e-money and undertake payment services in the UK and European Economic Area, announced that they have entered into an agreement under which Marqeta will acquire TransactPay. Wilson Sonsini Advises Anduril on Partnership with Microsoft to Advance U.S. Army’s IVAS Program
On February 11, 2025, Microsoft Corp. and Anduril Industries, a leader in defense technology, announced an expanded partnership to drive the next phase of the U.S. Army’s Integrated Visual Augmentation System (IVAS) program. Through this partnership agreement, and pending Department of Defense approval, Anduril will assume oversight of production, future development of hardware and software, and delivery timelines. This agreement also establishes Microsoft Azure as Anduril’s preferred hyperscale cloud for all workloads related to IVAS and Anduril AI technologies. The IVAS program represents a groundbreaking step forward in military technology, providing soldiers with a comprehensive, body-worn system that integrates advanced augmented reality (AR) and virtual reality (VR) to give warfighters beyond line-of-sight perception capabilities, increasing combat effectiveness, survivability against drones, and accelerating mission command of unmanned systems.

The collaboration between Anduril and Microsoft leverages the distinct strengths of each company, ensuring continuity in the program while advancing IVAS goals of enhancing combat effectiveness, awareness, and decision-making on the battlefield. Anduril’s mission focus on innovation in defense technology, deep understanding of military requirements, and unique approach to manufacturing defense products will ensure future program development specifically tailored to the evolving needs of the Army, as well as production at scale and at lower unit cost.

On December 19, 2024, Aadi Bioscience announced that it had entered into an agreement to sell its commercial drug product FYARRO® to KAKEN Pharmaceutical for $100 million, an agreement to sell and issue $100 million of equity in a PIPE financing, and an exclusive license agreement for the development and global commercialization of a three-asset portfolio of preclinical, next-wave antibody-drug conjugates (ADCs), in collaboration with WuXi Biologics, a global Contract Research, Development and Manufacturing Organization, and Hangzhou DAC, a global leader in ADC innovation.
