The Trump FTC Takes New Action Against Non-Competes, While Abandoning Defense of the Biden-Era Non-Compete Clause Rule
Demonstrating its focus on challenging non-competes through case-by-case enforcement, the Federal Trade Commission (FTC) recently undertook a series of actions. It announced a consent decree requiring Gateway Memorial Pet Services (Gateway), the largest pet cremation business in the United States, to immediately cease enforcement of non-compete agreements that the FTC alleged “limit [employee] job mobility and the ability to negotiate better wages and benefits."1 Along with that action, the FTC also issued a broad Request for Information (“RFI”), inviting members of the public to provide information on non-compete agreements that they themselves may be subject to or have knowledge regarding so the FTC can investigate further and bring enforcement action as appropriate. The following day, the FTC announced it would abandon its appeals in Ryan, LLC v. FTC, No. 24-10951 (5th Cir.), and Properties of the Villages v. FTC, No. 24-13102 (11th Cir.), and to accede to the order in Ryan setting aside the Biden-era Non-Compete Clause Rule.

In “Weaponizing Antitrust: An Unsubstantiated Attack Against Climate Initiatives,” an article recently published by Thomson Reuters, Wilson Sonsini partners Jindrich Kloub, Matthew McDonald, Brent Snyder, and Jeff VanHooreweghe discuss how the antitrust attack on climate initiatives is heating up, with 12 states recently filing lawsuits attacking such initiatives under the antitrust laws and the House Judiciary Committee issuing demand letters describing such initiatives as antitrust “cartels.”

In this article, the authors explain why the conduct recently under attack does not violate the antitrust laws as alleged—and that, conversely, the initiatives encourage competition with cleaner, more innovative, or more transparent products.

Gun-Jumping Violation Results in Record-Breaking Penalties
The Federal Trade Commission (FTC) has imposed a record-breaking $5.6 million fine on XCL Resource Holdings, LLC (XCL), Verdun Oil Company II LLC (Verdun), and EP Energy LLC (EP) to settle allegations that they engaged in unlawful gun-jumping in violation of the Hart-Scott-Rodino Antitrust Improvements Act of 1976 (HSR Act). The enforcement action, which was filed in federal court by the U.S. Department of Justice (DOJ) on January 7, 2025, is a strong reminder that merging parties must continue to operate as independent companies until the HSR waiting period has expired.

On January 8, 2025, Transcarent, the “One Place for Health and Care,” and Accolade, a leader in health advocacy, expert medical opinions, and primary care, announced that they have entered into a definitive agreement under which Transcarent will acquire Accolade for $7.03 per share in cash, which represents a total equity value of approximately $621 million. Transcarent will finance the transaction through a fully committed equity financing led by General Catalyst and Glen Tullman’s 62 Ventures. Wilson Sonsini Helps Secure EC Clearance of Run:ai’s Acquisition by NVIDIA
On December 20, 2024, the European Commission (EC) unconditionally approved the proposed acquisition of Run:ai Labs by NVIDIA Corporation under the EU Merger Regulation. The EC concluded that the transaction would raise no competition concerns in the European Economic Area (EEA). Wilson Sonsini Goodrich & Rosati represented Run:ai in securing the unconditional clearance.

U.S.-based NVIDIA designs and supplies graphic processing units (GPUs), a type of semiconductor for data center applications. Israel-based Run:ai supplies GPU orchestration software allowing corporate customers to schedule, manage, and optimize their AI compute infrastructure. NVIDIA’s proposed acquisition of Run:ai was notified to the EC on November 15 following a referral request from the Italian national competition authority. The EC investigated the impact of the transaction on the markets for the supply of discrete GPUs for use in data centers and GPU orchestration software. It assessed whether, post-transaction, NVIDIA would be able to hamper the compatibility between its GPUs and the GPU orchestration software of Run:ai’s competitors, and the compatibility between Run:ai’s software and the GPUs of NVIDIA’s competitors. The EC concluded that the proposed acquisition would not raise competition concerns in any of the markets examined in the EEA or Italy, and therefore cleared the transaction unconditionally.
