Wilson Sonsini associates Priyanka Nawathe and Rebecca Lilley were recently recognized by Kids in Need of Defense (KIND) for the month of December as part of the organization’s Boston office “Pro Bono Attorney Spotlight” feature.

Priyanka and Rebecca recently took on their second case for KIND. On November 20, 2024, Massachusetts-based GI Windows Surgical, a clinical-stage medical device company dedicated to developing the first fundamental breakthrough in anastomoses technology, announced the completion of a $37 million Series B financing round led by Orlando Health Ventures and joined by Rex Health Ventures with participation from existing investors including Johnson & Johnson Innovation–JJDC, JCInvestco, Fred Moll, MD, and an additional strategic investor. Wilson Sonsini Advises Bakkt on Concurrent Registered Direct Offerings
On February 29, 2024, Bakkt Holdings, Inc. (Bakkt), a leading crypto services platform, announced its entry into two securities purchase agreements relating to the purchase and sale of up to 57,670,127 shares of the company’s Class A common stock (or pre-funded warrants in lieu of Class A common stock) and accompanying warrants to purchase up to an equal number of shares of the company’s Class A common stock in concurrent registered direct offerings. The purchase price of each share of Class A common stock and accompanying warrant is $0.8670, resulting in aggregate expected gross proceeds of $50 million. Bakkt issued approximately $42.4 million of such securities on March 4, 2024, and will close on the issuance of the incremental approximately $7.6 million of such securities after the company obtains stockholder approval, subject to the satisfaction of other customary closing conditions. Wilson Sonsini Advises IVIVA on Acquisition by United Therapeutics
In October 2023, United Therapeutics acquired all of the outstanding equity of IVIVA Medical, Inc., a spin-out from the Harvard Stem Cell Institute addressing the chronic shortage of organs available for transplant. IVIVA is developing the IVIVA Kidney, a printed matrix cellularized with a patient’s own cells, which aids in the filtration and reabsorption functions of the native kidney.

On April 6, 2023, Spring Free EV, a financial technology company accelerating the adoption of electric vehicles (EVs) through innovative fintech products, announced the completion of a $31 million fundraise that includes a debt facility and a Series A equity investment led by Spring Lane Capital, a $400 million private equity firm focused on providing hybrid capital for sustainable solutions in the energy, food, water, waste, and transportation industries. The financing will enable Spring Free EV to double the number of EVs it has already put on the road by the end of 2023, with the expectation of scaling to tens of thousands of vehicles on the road by 2025. In addition, at full-scale operation, the company expects to cut the upfront costs of utilizing EVs by more than half the current amount.
