On December 17, 2025, Udemy, Inc., an AI-powered skills acceleration platform that combines on-demand, multi-language content with real-time innovation, and Coursera, Inc., an AI-powered online learning platform, announced that they have entered into a definitive merger agreement under which Coursera will combine with Udemy in an all-stock transaction. Based on the closing prices of Coursera and Udemy common stock on December 16, 2025, the implied equity value of the combined company is approximately $2.5 billion. The transaction is expected to close by the second half of 2026, subject to the receipt of required regulatory approvals, approval by Coursera and Udemy shareholders, and the satisfaction of other customary closing conditions.

On October 23, 2025, Redwood Materials, a battery recycling and cathode production company, announced it has closed a $350 million Series E funding round, bringing the total valuation of the company to about $6 billion. The funds will be used to expand the company’s energy storage business and its refining and materials production capacity. Wilson Sonsini Advises Armada Acquisition Corp. II on $1 Billion Business Combination with Evernorth Holdings
On October 20, 2025, Armada Acquisition Corp II (Armada II), a publicly traded special purpose acquisition company, and Evernorth Holdings Inc. (Evernorth), a newly formed Nevada corporation focused on enabling institutional-scale adoption of XRP, announced that they have entered into a definitive business combination agreement through which Evernorth will become a publicly listed company. The transaction is expected to raise more than $1 billion in gross proceeds, establishing Evernorth as the largest public XRP-treasury company and a first-of-its-kind institutional vehicle built to accelerate XRP adoption. Investors include SBI, Ripple, Rippleworks, and leading digital-asset and fintech investors such as Pantera Capital, Kraken, and GSR, with participation from Ripple co-founder Chris Larsen. Upon closing, the combined company will operate under the Evernorth name and is expected to trade on Nasdaq under the ticker symbol “XRPN,” subject to applicable listing requirements and other customary closing conditions.

Wilson Sonsini Advises Scale AI on $14.35 Billion Investment from Meta
On June 12, 2025, Scale AI, Inc., the humanity-first AI company, announced a $14.35 billion investment from Meta Platforms, Inc. that values Scale at over $29 billion. The agreement will also substantially expand Scale and Meta’s commercial relationship to accelerate deployment of Scale’s data solutions. Wilson Sonsini Goodrich & Rosati is advising Scale on the transaction.

In addition, Scale’s founder, Alexandr Wang, is joining Meta to work on Meta’s AI efforts. He will continue to serve as a director on Scale’s board of directors and support Scale’s ongoing work to unlock the power of AI and keep human values at the forefront.

Scale will distribute proceeds from Meta’s investment to Scale shareholders and vested equity holders, providing them with substantial liquidity as well as the opportunity to continue participating in Scale’s success as ongoing equity holders of the company. Following its investment, Meta will hold a minority of Scale’s outstanding equity.

Wilson Sonsini Advises Aledade in Acquisition of Medical Advantage
On May 1, 2024, Aledade, the nation’s largest and most successful network of physician-led value-based care, announced that it has acquired Michigan-based Medical Advantage, which since 2014 has operated as a wholly-owned subsidiary of The Doctors Company, the nation's largest physician-owned medical malpractice insurer. Wilson Sonsini advised Aledade on the transaction.

The partnership bolsters Aledade’s status as the nation’s preeminent primary care Accountable Care Organization (ACO) network and a recognized leader in value-based care. It also expands Michigan physician partnerships with Aledade from 35 to approximately 700. Aledade also will sustain Medical Advantage’s status as a physician organization able to participate in value-based care arrangements with both public and private payers, including Blue Cross Blue Shield of Michigan.
