Shot, Chaser: FTC Sues Alcohol Supplier Under Controversial Pricing Law, Dissenting Commissioner Offers Detailed Defense
On December 12, 2024, the Federal Trade Commission (FTC) sued Southern Glazer’s Wine and Spirits, LLC (Southern) in the Central District of California for alleged price discrimination, initiating the first federal government enforcement action under the Robinson-Patman Act (RPA) in nearly 25 years.1 Much ink was spilled across statements issued by FTC Commissioners Alvaro Bedoya, Andrew Ferguson, and Melissa Holyoak about the history of the enactment and enforcement of the RPA and various statutory interpretation arguments. That commentary is certainly interesting reading to better understand dueling views on the origin and purpose of the RPA, but the key takeaways for suppliers and retailers assessing legal risk under the RPA are: the RPA remains good law, the FTC has delivered on its promise to revive enforcement, and the incoming Chair for the Trump Administration—Commissioner Ferguson—is open to future RPA enforcement, particularly when the favored buyer has market power.

FTC Reinterprets FTC Act to Include Broad Powers Related to “Interlocking Directorates”
In what might be a further expansion of antitrust enforcement of interlocking directorates, the Federal Trade Commission (FTC) issued a policy statement announcing that it now interprets Section 5 of the FTC Act to grant it authority to take enforcement action against interlocking directorates or officers of competing firms that do not fall within the “literal language of the Clayton Act.”1

Firm Secures Victory in Vitamin C Case in U.S. Supreme Court
Wilson Sonsini clients Hebei Welcome and North China Pharmaceutical Group (NCPG) have prevailed in the U.S. Supreme Court in their defense of long-running price-fixing allegations. The case was brought in 2005 against several Chinese Vitamin C exporters. Eventually, everyone except Hebei and NCPG settled, and a judgment of roughly $150 million was entered against them. The firm was retained after the verdict to handle the appeal and succeeded in getting the judgment reversed outright by the U.S. Court of Appeals for the Second Circuit. However, the plaintiffs appealed to the U.S. Supreme Court, which reversed, ruling that the Second Circuit gave too much deference to the Chinese government’s submissions, which had said that China had required the price-fixing at issue. The case then went back to the Second Circuit, which reversed the judgment again. The plaintiffs again sought review in the Supreme Court, but their petition was denied without dissent on October 3, 2022, bringing the case to a final end.
