Wilson Sonsini Successfully Represents Impossible Foods in First-of-Its-Kind FoodTech Patent Suit
Wilson Sonsini served as lead counsel for Impossible Foods in a patent infringement litigation alleging infringement of seven Impossible Foods patents covering manufacturing processes, ingredients, and finished products relating to plant-based food containing heme and Impossible’s innovative transgenic yeast used to manufacture that heme. Our team successfully represented Impossible Foods in defense of six inter partes review petitions before the Patent Trial and Appeal Board in 2022 and 2023. Wilson Sonsini defeated the defendant’s motion to dismiss and motion to stay the District Court litigation. The matter was closely watched as the first patent infringement case in the burgeoning foodtech industry. With trial approaching, the parties resolved the matter and released a joint statement that said: “This resolution affirms Impossible Foods’ category leadership and the strength of its product portfolio related to heme.”

On November 13, 2024, OneSkin, a biotech skin health brand, announced the successful completion of an oversubscribed Series A financing led by Selva Ventures, with participation from PLUS Capital, Unilever Ventures, Able Partners, and former investors SOSV, Meta Planet, and additional investors. The latest round brings the total company funding to $20 million. Wilson Sonsini Goodrich & Rosati advised OneSkin on intellectual property matters related to the transaction and has advised the company on IP matters generally since its founding in 2016.

On November 6, 2023, Alpine Immune Sciences, Inc., a clinical-stage immunotherapy company focused on developing innovative treatments for autoimmune and inflammatory diseases, announced the pricing of its underwritten public offering of 8,800,000 shares of its common stock and pre-funded warrants to purchase up to 3,200,000 shares of its common stock, pursuant to its existing shelf registration statement. Wilson Sonsini Goodrich & Rosati advised Alpine Immune Sciences on the transaction.

Firm Secures Federal Circuit Affirmance of PTAB Victory for Palette Life Sciences
On August 16, 2023, the U.S. Court of Appeals for the Federal Circuit affirmed a Wilson Sonsini Goodrich & Rosati victory for Palette Life Sciences, Inc. against two medical-device patents. Palette provides injectable, biodegradable spacers for protecting non-target organs from radiation treatments. Wilson Sonsini successfully challenged the two broad Incept LLC patents at the Patent Trial and Appeal Board (PTAB) on both anticipation and obviousness grounds. Incept appealed both decisions, challenging the anticipation and obviousness analyses, including arguments on teaching away and commercial success. At the Federal Circuit, Judge Schall (joined by Judge Taranto) affirmed the PTAB’s decisions, with a partial dissent from Judge Newman, who would have remanded some of the claims for further consideration by the PTAB. With this win, more cancer patients will have access to this important protective technology.

Wilson Sonsini partner T.O. Kong argued the case at the PTAB and the Federal Circuit, with support from Tasha Thomas, Lori Westin, Rick Torczon, Kathryn Robinson, and Robyn Moriarty.

On January 25, 2022, Cellino Biotech, an autonomous cell therapy manufacturing company, announced the completion of a Series A financing of $80 million, led by the impact investment arm of Bayer AG—Leaps by Bayer—8VC, and Humboldt Fund. New investors in the round include Felicis Ventures and others, joining existing investors The Engine and Khosla Ventures. Wilson Sonsini Advises Vida Ventures on Vigil Neuroscience’s $90 Million Series B Financing
On August 18, 2021, Vigil Neuroscience, a biotechnology company harnessing the power of microglia for the treatment of neurodegenerative diseases, announced the completion of a $90 million Series B financing. The financing was led by Vida Ventures with participation from existing investors Atlas Venture, Northpond Ventures, and Hatteras Venture Partners as well as new investors including Surveyor Capital (a Citadel company), Cormorant Asset Management, Invus, OrbiMed, Rock Springs Capital, Deep Track Capital, Logos Capital, Pivotal bioVenture Partners, and Lightstone Ventures. Wilson Sonsini Goodrich & Rosati represented Vida Ventures in the transaction.

The financing will be used to further advance Vigil’s proprietary pipeline of microglia-targeted medicines for the treatment of neurodegeneration. Vigil is developing both a fully human monoclonal antibody, VGL101, and small molecule agonists of triggering receptor on myeloid cells 2 (TREM2), an essential microglia sensor that mediates responses to environmental signals to maintain brain homeostasis.
