On March 10, 2026, BlackLine announced that it entered into a cooperation agreement with Engaged Capital. Under this agreement, BlackLine appointed Storm Duncan and Megan Prichard to its board of directors, and Engaged Capital agreed to various restrictions on its activities at BlackLine. On March 2, 2026, Lumentum, a leader in optical and photonic technologies, and NVIDIA announced their multiyear strategic agreements to accelerate innovation in advanced optics technologies and NVIDIA’s $2 billion equity investment in Lumentum to support R&D, future capacity and operations as Lumentum builds out its U.S.-based manufacturing capabilities in a new fab. This expanded collaboration will draw on the strengths of NVIDIA’s leadership in AI, accelerated computing and networking, and Lumentum’s leadership in optics and advanced manufacturing. Firm Advises Dropbox on $700 Million Upsize to its Existing Secured Credit Facility
On September 9, 2025, Dropbox, Inc. announced an amendment to its existing Credit and Guaranty Agreement, providing the company with a secured term loan facility in an aggregate principal amount of up to $2.7 billion, consisting of $1 billion of existing term loans, $1 billion of existing delayed draw term loans, and $700 million of 2025 delayed draw term loans. The amended facility was led and substantially provided by Blackstone Credit & Insurance. Proceeds of the additional delayed draw term loans may only be used to repay Dropbox’s outstanding convertible senior notes due in 2026. Wilson Sonsini Goodrich & Rosati advised Dropbox on the transaction.

Wilson Sonsini Advises Chime on IPO
On June 11, 2025, leading consumer financial technology company Chime announced the pricing of its initial public offering of its Class A common stock at $27.00 per share. Chime sold 25,900,765 shares in the offering and certain existing stockholders of Chime sold 6,099,235 shares in the offering. Wilson Sonsini Goodrich & Rosati is advising Chime on the transaction.

Wilson Sonsini Advises Micron on $1.75 Billion Senior Notes Offering
On April 29, 2025, Micron Technology, Inc., completed its offering of (i) $500,000,000 aggregate principal amount of 5.65 percent senior notes due 2032 (the "2032 Notes") and (ii) $1,250,000,000 aggregate principal amount of 6.05 percent senior notes due 2035 (the "2035 Notes" and, together with the 2032 Notes, the "Notes"). Micron intends to use the net proceeds from the sale of the Notes to redeem its outstanding 4.185 percent Senior Notes due 2027 and for general corporate purposes. Wilson Sonsini Goodrich & Rosati advised Micron on the transaction.

With the 2025 proxy season upon us, this Alert highlights governance, disclosure, and engagement considerations for companies preparing for their 2025 annual meetings.1 Many of the governance and disclosure matters discussed below remain consistent with prior rulemakings and disclosure requirements adopted by the U.S. Securities and Exchange Commission (SEC). However, in recent weeks, we have seen a significant shift in the discourse and approach regarding environmental, social, and governance matters, particularly related to diversity, equity, and inclusion (DEI) disclosures. These disclosures had become common in proxy statements and were seen as responsive to the expectations of proxy advisory firms and large institutional investors; however, as our 2025 Environmental and Social Developments alert discusses in greater detail, recent developments have changed how some of these stakeholders are approaching these matters. We highlight below several considerations relating to these developments but note that the approach on these issues by many other stakeholders remains in flux.
