Wilson Sonsini Pro Bono Victory in Medicare Class Action Affirmed, Stands to Protect Appeal Rights for Vulnerable Medicare Patients Nationwide
Previously, in March 2020, Wilson Sonsini, along with co-counsel Center for Medicare Advocacy (CMA) and Justice in Aging, obtained a trial victory at the district court level on behalf of a nationwide class of Medicare beneficiaries to appeal adverse classifications that affected their right to Medicare coverage for often critical care.  On January 25, 2022, following an appeal and challenge of the ruling by the defendant, a panel of the U.S. Court of Appeals for the Second Circuit issued an opinion, stating “we find no merit in these challenges. We therefore AFFIRM.”

Delaware Court of Chancery Orders Specific Performance in Favor of Wilson Sonsini’s Client After Declining to Find Material Adverse Effect
On July 9, 2021, the Delaware Court of Chancery issued a post-trial opinion in Bardy Diagnostics, Inc. v. Hillrom, Inc., C.A. No. 2021-0175-JRS, ordering specific performance in favor of Wilson Sonsini Goodrich & Rosati’s client, Bardy Diagnostics, Inc. (BardyDx), the seller under a merger agreement with Hill-Rom, Inc. (Hillrom). The Wilson Sonsini team included partners David Berger, Steven Guggenheim, and Brad Sorrels; Of Counsel Andrew Cordo; senior counsel Jessica Hartwell; and associates Lindsay Faccenda, Ben Potts, Nora Crawford, Jeremy Gagas, and Leah León.

Wilson Sonsini Corporate and Litigation Teams Steer Forescout to $1.43 Billion Deal with Advent
On Wednesday, July 15, 2020, Forescout Technologies, a leader in device visibility and control, and Advent International, one of the largest and most experienced global private equity investors, announced that the companies agreed to amend the terms of their previously announced transaction. The Forescout board of directors unanimously approved a revised definitive agreement under which Advent will commence a tender offer to acquire all outstanding shares of Forescout common stock for $29.00 per share, a 16 percent premium to Tuesday’s stock price. Advent has partnered with Crosspoint Capital Partners, a private equity investment firm focused on cybersecurity and privacy industries, as an advisor on this transaction. Wilson Sonsini Goodrich & Rosati is representing Forescout in the transaction, which is expected to close in the third quarter of 2020.

Wilson Sonsini Helps Secure Pro Bono Win for Thai Asylum Seeker
On November 14, 2019, Wilson Sonsini pro bono attorneys secured a grant of asylum for an asylum seeker from Thailand. The client, “J”, came through Wilson Sonsini through the AIDS Legal Referral Panel, and is the firm’s first client from this organization. J originally came to the United States in 1996 to pursue her Master’s degree. However, a financial crisis in Thailand caused her to lose her school funding. J stayed in the United States in order to work and save money for school, and to avoid her family who do not support her as a transgender woman. In 2008, J contracted HIV, and requires several expensive medications to stay alive that she would not be able to access in Thailand. In April 2019, J, with the help of her doctors, transitioned in her public and private life and now lives fully as a transgender woman. While asylum applicants generally must apply for asylum within one year of entering the United States, Wilson Sonsini successfully argued that J’s transition constituted an “extraordinary circumstance” to overcome the statutory one-year bar.

Latino and African American Students Achieve Victory in Landmark Settlement with Kern High School District
On July 24, 2017, the Kern High School District (KHSD) Board of Trustees approved a landmark settlement with the plaintiffs in a lawsuit challenging historic changes to the district's school discipline policies that disproportionately impact students of color. The settlement, the first of its kind in California, includes an immediate change to KHSD discipline practices and an acknowledgment by the school district that students of color face higher rates of discipline than white students. A Wilson Sonsini pro bono team joined a coalition of civil rights organizations, including California Rural Legal Assistance, the Mexican American Legal Defense and Educational Fund, the Equal Justice Society, and Greater Bakersfield Legal Assistance to represent the plaintiffs in the matter.

On January 5, 2017, Gartner, the world's leading information technology research and advisory company, and CEB, the industry leader in providing best practice and talent management insights, announced that they have entered into a definitive agreement under which Gartner will acquire all of the outstanding shares of CEB in a cash and stock transaction with an enterprise value of approximately $3.3 billion. Wilson Sonsini Goodrich & Rosati is representing Gartner in the transaction.
