Wilson Sonsini Advises Mandiant on $5.4 Billion Acquisition by Google
On March 8, 2022, Mandiant announced that it has entered into a definitive agreement to be acquired by Google for $23.00 per share in an all-cash transaction valued at approximately $5.4 billion, inclusive of Mandiant’s net cash. The offer price represents a 57 percent premium to the undisturbed 10-day trailing volume weighted average price as of February 7, 2022, the last full trading day prior to published market speculation regarding a potential sale of the company. Upon the close of the acquisition, Mandiant will join Google Cloud. The acquisition will complement Google Cloud’s existing strengths in security. Together with Mandiant, Google Cloud will deliver an end-to-end security operations suite with even greater capabilities as well as advisory services helping customers address critical security challenges and stay protected at every stage of the security lifecycle.

On July 21, 2021, the global leader in personalized online learning, BYJU’s (backed by General Atlantic, Sequoia Capital, the Chan-Zuckerberg Initiative, Naspers, Silver Lake, Tiger Global, and other notable investors), announced a $500 million acquisition of Epic, the world’s leading digital reading platform for kids 12 and under. The acquisition will help expand BYJU’S U.S. footprint by providing access to the more than two million teachers and 50 million kids in Epic’s existing global user base, which more than doubled over the last year. Firm Advises FireEye on $1.2 Billion Sale of Products Business to Symphony Technology Group
On June 2, 2021, FireEye, Inc. announced that it has entered into a definitive agreement to sell the FireEye Products business, including the FireEye name, to a consortium led by Symphony Technology Group (STG) in an all-cash transaction for $1.2 billion, before taxes and transaction-related expenses. Wilson Sonsini Goodrich & Rosati advised FireEye on the transaction.

The transaction will separate FireEye’s network, email, endpoint, and cloud security products, along with the related security management and orchestration platform, from Mandiant’s controls-agnostic software and services, enabling both organizations to accelerate growth investments, pursue new go-to-market pathways, and focus innovation on their respective solutions. The FireEye Products business and Mandiant Solutions will continue to operate as a single entity until the transaction closes, allowing management and STG to develop a successful transition of the FireEye Products business to a standalone entity within the STG portfolio. The transaction is expected to close by the end of the fourth quarter of 2021, subject to customary regulatory approvals and closing conditions. FireEye also announced that its board of directors has approved a share repurchase program for up to $500 million of outstanding FireEye common stock.

4.09.21

Firm Represents SEEIT in $177 Million Acquisition of Commercial District Energy System
On April 6, 2021, SEEIT announced that it has agreed to acquire a 100 percent equity interest in a commercial district energy system, RED-Rochester, LLC (RED), from a fund managed by an affiliate of Stonepeak Infrastructure Partners for an equity cash consideration of approximately $177 million. Wilson Sonsini Goodrich & Rosati represented SEEIT in the transaction.

RED is one of North America’s largest district energy systems, with 117 MW of steam turbine generators plus boilers, chillers, and other equipment that provide exclusive utility services to commercial and industrial customers within the 1,200-acre Eastman Business Park in Rochester, New York. RED offers 16 onsite services, including electricity, steam, chilled water, wastewater, compressed air, nitrogen, lake water treatment, industrial water distribution, and high purity water distribution.

SEEIT’s acquisition of RED will be funded from existing cash reserves and RCF facilities, which includes the capital raised by SEEIT in its equity fundraising in February. Completion of the acquisition is expected following satisfactory conclusion of customary regulatory conditions and consents.
