Rosalind Schonwald is a technology transactions attorney in Wilson Sonsini Goodrich & Rosati’s Seattle office. She advises emerging and high-growth companies, large public and multinational technology companies, and other sophisticated businesses on complex commercial and intellectual property transactions, with particular experience in cloud and SaaS, artificial intelligence, and software.

Rosalind structures and negotiates strategic commercial arrangements across the technology lifecycle, including enterprise SaaS and cloud agreements, software and intellectual property licenses, data transactions, development and collaboration agreements, strategic partnerships, platform and API integrations, channel and distribution arrangements, outsourcing, professional services, and supply and manufacturing agreements. She regularly leads negotiations, advises business teams on commercial and legal strategy, and manages transactions from initial structuring through execution, coordinating with privacy, cybersecurity, intellectual property, and regulatory specialists where appropriate. Her experience includes serving as embedded commercial counsel to a leading developer of foundation models.

Rosalind also advises clients on the technology, intellectual property, and commercial aspects of mergers, acquisitions, divestitures, and other strategic transactions. She leads technology and commercial diligence, negotiates intellectual property and technology provisions, advises on transaction structure, and structures and negotiates key transaction agreements and other ancillaries.

Rosalind is known for a practical, commercially focused approach to complex transactions, helping clients manage legal risk while advancing business objectives and workable operational outcomes.

On August 18, 2026, Seismic, an AI-powered sales and revenue enablement platform, announced the completion of its merger with Highspot. Following a second request review, the merger obtained U.S. antitrust clearance, which allowed the transaction to close without any action by the Department of Justice Antitrust Division.
