Firm Advises RapidSOS on $150 Million Financing Round
On March 5, 2024, intelligent safety company RapidSOS announced an additional $75 million raise led by funds and accounts managed by BlackRock, which closed the company’s latest round at $150 million. Wilson Sonsini Goodrich & Rosati advised RapidSOS on the transaction.

Also participating in the round were NightDragon, BAM Elevate, Insight Partners, the private investment division of Balyasny Asset Management, Manhattan Venture Partners, Acrew Capital, and Harmonic Growth Partners.

RapidSOS connects life-saving data from more than 540 million devices in our nation's homes, schools, trains, cars, buildings, and personal devices to over 16,000 public safety agencies and nearly 1 million first responders, leading to a faster and more accurate emergency response that saves lives and reduces the cost of recovery. In 2023, RapidSOS's Intelligent Safety platform processed over 3 billion data feeds used by highly trained operational teams and first responders to manage 171 million emergencies, covering over 99 percent of the U.S. population.

Firm Advises Spark I Acquisition Corporation on $100 Million IPO
On October 5, 2023, Spark I Acquisition Corporation (the “Company”), a special purpose acquisition company, announced the pricing of its initial public offering of 10,000,000 units at a price of $10.00 per unit. The units will be listed on the Nasdaq Global Market and trade under the ticker symbol "SPKLU" beginning on October 6, 2023. Each unit consists of one Class A ordinary share and one-half of one redeemable warrant, with each whole warrant exercisable to purchase one Class A ordinary share at a price of $11.50 per share. After the securities comprising the units begin separate trading, the Class A ordinary shares and warrants are expected to be listed on Nasdaq under the symbols "SPKL" and "SPKLW," respectively. Wilson Sonsini Goodrich & Rosati is advising the Company on the transaction.

Wilson Sonsini Advises Forum Mobility on $15 Million Series A and $400 Million Joint Venture
On January 17, 2023, Forum Mobility, a zero-emission trucking solutions provider, announced the close of a $15 million Series A funding round and a new $400 million joint venture, both led by a fund sponsored by CBRE Investment Management, to provide comprehensive, zero-emission charging and vehicle solutions to drayage truck fleets and drivers. Homecoming Capital also participated in the Series A funding round and provided $100 million to the joint venture. Wilson Sonsini Goodrich & Rosati advised Forum Mobility on the transactions.

“We are building a comprehensive charging network for heavy-duty trucks to make the transition to electrification. This network will need a lot of infrastructure and real estate, and CBRE IM is the perfect partner to help us build charging where it's needed most. Fleets can bring their trucks to our network, or we can provide electric trucks bundled with charging. Today we can provide a Class 8 electric truck, and all its charging needs, at a monthly price that's competitive with diesel—without the emissions," said Matt LeDucq, CEO and co-founder of Forum Mobility. "With new rules coming soon from the California Air Resources Board, we help fleets and drivers looking to make the jump to electric."

Forum Mobility’s existing seed investors all participated in the Series A, including Obvious Ventures, Edison International, Overture, and Homecoming Capital. New Series A investors include CBRE Investment Management, Elemental Excelerator, and Amazon's Climate Pledge Fund.

On August 9, 2021, 80 Acres Farms, an industry-leading vertical farming company, announced it secured $160 million in additional funding in a round led by General Atlantic and joined by Siemens Financial Services, Inc. (the U.S. financing arm of global technology company Siemens). The funding round also included Blue Earth (formerly PG Impact Investments) and General Atlantic's Beyond Net Zero team, in addition to participation from existing investors including Barclays and Taurus. The company intends to utilize the capital for continued expansion and product development, building from its current footprint of vertical farms that yield a diverse offering of high-quality produce. The round was led by Energy Impact Partners, Southern Company, and DBL Partners, with participation from GE Ventures, AGL Energy Limited, and Macquarie Capital, as well as reinvestment by other early investors.
