Ralitza Dineva is Of Counsel in the Palo Alto office of Wilson Sonsini Goodrich & Rosati, where her practice focuses on advising clients in connection with regulatory inquiries and internal investigations, white collar defense, and domestic and cross-border regulatory compliance counseling. She also has extensive experience handling complex commercial disputes, securities class actions, shareholder derivative lawsuits, and merger litigation before state and federal courts and in arbitration proceedings.

Ralitza maintains an active pro bono practice and has successfully represented clients seeking asylum in the U.S., seeking relief in connection with predatory bail bond agreements, and in complex matters involving public law, including the Freedom of Information Act, the California Public Records Act, and the California Environmental Quality Act. She also represented the family of a murdered Honduran environmental activist in U.S. District Court and before the Fifth Circuit Court of Appeals to obtain discovery for use in the murder trial in Honduras.

During law school, Ralitza served as a judicial extern to the Honorable Phyllis J. Hamilton, Chief Judge of the U.S. District Court for the Northern District of California, and as a research assistant to Professor Pratheepan Gulasekaram in the areas of constitutional and immigration law. She also represented a client in an immigration appeal before the U.S. Court of Appeals for the Ninth Circuit and advised low-income clients on various employment law issues as part of the Workers' Rights Clinic of the Katharine & George Alexander Community Law Center.

Court Dismisses Federal Securities Class Action Against Invuity
On November 24, 2020, the U.S. District Court for the Northern District of California issued an order dismissing with prejudice a federal securities class action lawsuit filed against Wilson Sonsini clients Invuity Inc., its former chief executive officer, and its chief financial officer. Judge Jeffrey S. White held that the complaint failed to allege any false or misleading statements and failed to allege scienter.

U.S. Supreme Court Rules That SEC Disgorgement Is Subject to a Five-Year Limit
The U.S Securities and Exchange Commission (SEC) has frequently used disgorgement as a tool to strip wrongdoers of ill-gotten gains. The aim of disgorgement is to return the wrongdoer to the position he or she was in before the violation occurred and to prevent the wrongdoer from being unjustly enriched by their misconduct. On June 5, 2017, in Kokesh v. Securities and Exchange Commission,1the U.S. Supreme Court placed an important limitation on the SEC's ability to impose disgorgement.
