Lauren DeBona Zlotnick is an associate in the Wilmington office of Wilson Sonsini Goodrich & Rosati, where her practice focuses on representing corporate entities and their directors and officers in corporate governance and commercial litigation in the Delaware Court of Chancery.

Before joining the firm, Lauren completed a two-year clerkship with Vice Chancellor Morgan T. Zurn of the Delaware Court of Chancery, the nation’s preeminent business court. Working with Vice Chancellor Zurn and her team, Lauren helped adjudicate complex legal issues in an array of corporate and commercial disputes, and cultivated strong legal research and writing skills under the time pressure of the Court’s dense docket. As a result of Lauren’s tenure with the Court, she offers clients a unique perspective and a familiar understanding of the Court’s jurisprudence and procedure in corporate and commercial matters.

During law school, Lauren served as a judicial extern to the Honorable Eric L. Frank of the United States Bankruptcy Court for the Eastern District of Pennsylvania. She also worked as a student attorney in the Villanova Clinic for Law and Entrepreneurship, and was awarded the Villanova Clinical Legal Association Award for her pro bono representation of Philadelphia-area community enterprises, non-profit organizations, entrepreneurs, and small businesses. Lauren served as Online Editor to the Villanova Law Review, in which she was published in 2018 and for which she was awarded the Dr. Arthur Clement Pulling Award for her editorial and administrative contributions to the journal.

In Rare Decision, Delaware Court of Chancery Imposes Liability on CEO and Acquiror Post-Trial
On March 15, 2023, Chancellor Kathaleen St. J. McCormick of the Delaware Court of Chancery issued a rare post-trial decision finding a CEO personally liable for millions of dollars in damages for breaching his fiduciary duties by tilting his company’s sale process in favor of his preferred acquiror and failing to disclose material facts about the sale process. Equally unusual, the Court of Chancery found the acquiror liable for monetary damages, on a joint basis with the CEO, for aiding and abetting the CEO’s breaches of fiduciary duty in providing inadequate disclosures to stockholders. The decision provides valuable insight into what Delaware courts expect of management and a board when selling a company, as well as the risks that can arise when a court determines that a sale process and related disclosures were improper.
