Capital Markets, Corporate, and Securities Expertise

David has represented clients in a broad range of corporate and securities matters including IPOs, deSPACs and other offerings, corporate governance, and other transactional matters. He has also worked on numerous transactions as underwriter counsel.

David Sharon is a partner in Wilson Sonsini Goodrich & Rosati’s New York office, where he focuses on corporate and securities work for both public and private companies across all stages of growth. David’s broad capital markets experience includes initial public, follow-on, and secondary equity offerings; investment grade, high-yield, and convertible debt offerings; and private investment in public equity (PIPE) transactions.

He also counsels publicly held companies on general corporate representation, SEC compliance, disclosure matters, exchange-listing standards, and complex securities law issues, and frequently represents investment banks in their underwriting transactions.

Prior to joining Wilson Sonsini, David practiced law at Fried, Frank, Harris, Shriver & Jacobson LLP in New York.

On June 17, 2026, Legend Biotech Corporation, a global leader in cell therapy, announced the pricing of an underwritten public offering of 7,700,000 American Depositary Shares (ADSs), each representing two ordinary shares of the company, at a public offering price of $29.35 per ADS. In addition, Legend Biotech has granted the underwriters a 30-day option to purchase up to an additional 1,155,000 ADSs at the public offering price, less underwriting discounts and commissions. The gross proceeds to Legend Biotech from the offering, before deducting underwriting discounts and commissions and estimated offering expenses payable by Legend Biotech, were approximately $226 million, excluding any proceeds from the exercise of the underwriters’ option to purchase additional ADSs. Wilson Sonsini Goodrich & Rosati advised the underwriters on the transaction.

(QCi), an innovative, quantum optics and integrated photonics technology company, announced the completion of acquiring NHanced Semiconductors for a combination of cash and QCi stock valued at $73.1 million, subject to customary adjustments, and up to an additional $72.0 million if certain performance targets are achieved.
