Alice Cao is an associate in the Washington, D.C., office of Wilson Sonsini Goodrich & Rosati, where she advises domestic and international clients on investment management, investment funds, and related U.S. federal securities regulatory matters. Her practice focuses particularly on the Investment Company Act of 1940, the Investment Advisers Act of 1940, broker-dealer regulation under the Securities Exchange Act of 1934, and private offerings under the Securities Act of 1933.
Alice regularly counsels operating companies, including many technology companies, on investment activities and treasury strategies, including the development and implementation of investment policies, Investment Company Act status and compliance analyses, structuring investments to preserve applicable exemptions and exclusions, and seeking exemptive or other regulatory relief where appropriate. She also has substantial experience advising registered investment advisers, including technology- and AI-enabled advisers, on formation and structuring, SEC and state registration, ongoing regulatory compliance, product and business model development, and mergers and acquisitions and other strategic transactions.
In addition, Alice advises on private fund formation and related regulatory compliance, including the structuring and formation of venture capital and private equity funds, funds-of-funds, and co-investment vehicles.
While attending law school, Alice externed in the Student Honors program of the Division of Corporation Finance at the Securities and Exchange Commission.
