Wilson Sonsini Expands Energy and Infrastructure Practice
Press Releases
April 8, 2019

- Hershel Wein Joins the Firm's New York Office -

PALO ALTO, Calif. (April 8, 2019) – Wilson Sonsini Goodrich & Rosati, the premier provider of legal services to technology, life sciences, and growth enterprises worldwide, announced today that Hershel Wein has joined the firm's energy and infrastructure practice as a partner in the New York office. He will also be a member of the firm's structured finance practices.

Wein’s past experience includes advising clients on the tax aspects of transactions involving partnerships, real estate investment trusts (REITs), and other pass-through entities. He has also advised clients on numerous tax credit and alternative energy transactions; project finance transactions; real estate transactions; corporate joint ventures; partnership and corporate restructurings and workouts; and cross-border financings and investments. Wein also advises financial institutions in structuring and implementing structured finance and derivatives transactions, pension funds, and other tax-exempt entities in their investment activities, as well as sponsors of, and investors in, all types of private investment vehicles.

Before joining Wilson Sonsini and since 2012, Wein was a principal in the Washington National Tax practice of KPMG LLP, in its New York office. Prior to joining KPMG, he worked at a large New York-based law firm for more than 26 years, starting as an associate in its predecessor firm. He became a tax partner in 1995.

"During the last five years, we have built an energy and infrastructure team that helps clients pursue complex, sophisticated transactions—deals associated with innovative and game-changing projects," said Doug Clark, the firm's managing partner. "Like the well-rounded team Hershel is joining, his expertise ranges from corporate and debt finance to restructuring and tax. It’s also a plus that he’s joining our New York office, because of the many banks and sources of capital involved in energy and infrastructure projects."

Wein earned his J.D. from Columbia Law School in 1985, and received his B.S. in accounting from City University of New York at Brooklyn College in 1982. He is admitted to practice in New York.

Wein is the author of "The Private REIT: Selected Tax Issues," "Tax Credit Investments and the Ossification of the Economic Substance Doctrine," and "Corporate Allocations and Their Constraints: Allocating the Income of Corporate Pass-Through Entities," articles that appear each year in the Partnership Tax Practice Series and the Corporate Tax Practice Series of the Practicing Law Institute. He has also authored articles on the tax treatment of investments in alternative energy and other transactions. He is a member of the Tax Section of the New York State Bar Association.

WSGR is often involved in first-of-their-kind projects, financings, and transactions—deals that are fundamentally changing the ways people power their homes and factories, fuel their vehicles, and manufacture the next generation of products. The firm’s energy and infrastructure team represents more than 300 industry clients, including innovative, emerging renewable energy companies, mature enterprises developing and financing large-scale infrastructure projects, and public companies involved in significant energy initiatives. The firm also represents leading venture capital firms, private equity firms, energy project investors, and other lenders actively involved in commercializing energy innovations and project finance.
