On April 1, T-Mobile announced that it has officially completed its merger with Sprint Corporation. Wilson Sonsini Goodrich & Rosati served as lead antitrust counsel to Deutsche Telekom, T-Mobile’s parent company, in the matter.
The transaction is one of the largest telecommunications deals in history. The successful merger has created the “New T-Mobile” with an enterprise value of approximately $146 billion and over 125 million customers. The completion of the transaction represents the successful culmination of a multi-year process involving multiple in-depth reviews by federal and state regulatory authorities.
The closing of the transaction follows the February 11 ruling by U.S. District Court Judge Victor Marreo in favor of the $26 billion merger in which the court rejected an unprecedented multistate challenge to the transaction filed by a group of state attorneys general, subsequent to the approval of the transaction by the U.S. Department of Justice (DOJ) and the Federal Communications Commission (FCC).
Prior to the challenge by the state attorneys general, Wilson Sonsini represented Deutsche Telekom in the reviews conducted by the DOJ and multiple other state attorneys general. Wilson Sonsini attorneys also advised in the preparation of the lead economist affidavit submitted by the parties in the Public Interest Statement the parties filed with the FCC in June 2018.
