SAN DIEGO, CA (July 8, 2025)—Wilson Sonsini Goodrich & Rosati, the premier provider of legal services to technology, life sciences, and growth enterprises worldwide, announced today that Megan Arthur Schilling has joined the firm as a partner in its San Diego office. Her practice will focus on compensation and benefits matters for companies at every stage of development, further strengthening the firm’s ability to guide high-growth companies through the evolving complexities of regulatory, investor, and governance challenges.

Schilling joins Wilson Sonsini from Cooley, where she was a partner in the compensation and benefits practice, as well as the corporate governance, shareholder engagement, and sustainability advisory practices. With over 15 years of experience, she advises on complex, multidisciplinary matters involving executive compensation, employee benefits, and corporate governance. Her clients range from large, multinational public companies to emerging growth businesses and individual executives—demonstrating both her versatility and depth of experience.

Building on her broad background, Schilling regularly structures compensation programs, including employment agreements, bonus and equity incentive plans, severance packages, and change-in-control arrangements—all carefully tailored to support her clients’ strategic goals. Beyond compensation program design, she is a trusted advisor to public companies, executives, and board members on shareholder relations, providing strategic counsel on navigating the impact of proxy advisory firms, institutional investor perspectives, and sensitive governance matters. Under her guidance, clients develop effective proxy disclosures, implement shareholder engagement programs, and achieve successful proxy vote outcomes.

Schilling also brings significant experience advising private companies and their leadership teams at every stage of growth, delivering creative and scalable compensation strategies that support rapid expansion. A recognized leader in IPO readiness, she has counseled on more than 70 initial public offerings, helping companies transform compensation programs and smoothly transition to the public markets.

“Executive compensation is central to today’s most important corporate decisions,” said Doug Clark, managing partner at Wilson Sonsini. “As scrutiny intensifies and the demand for seasoned counsel continues to grow—especially in life sciences and technology—Megan’s experience and judgment stand out. Boards, compensation committees, and senior leadership teams consistently turn to her for practical, business-driven solutions. She’s a valuable addition to our market-leading practice.”

Schilling has been named a Southern California Super Lawyers “Rising Star” and frequently speaks on emerging topics in executive compensation, corporate governance, and regulatory developments.

She graduated with a BBA from the College of William & Mary and earned her J.D. from the University of San Diego School of Law, where she was elected to the Order of the Coif and served on the San Diego Law Review.

“Wilson Sonsini has a well-earned reputation for guiding innovative companies through their most high-stakes transactions and critical business decisions across the continuum of their evolution,” said Schilling. “Building on this legacy, I’m excited to join this exceptional team to help clients develop compensation strategies that both advance their business objectives and address the shifting landscape of corporate governance, tax, and securities regulation. In doing so, we strive not only to meet regulatory requirements but also to align leadership incentives with sustainable growth and long-term shareholder value."
