Strategic Advisor and Seasoned Professional Brings 25+ Years of Experience in Digital Health to the Role

New York, NY (April 9, 2025) — Wilson Sonsini Goodrich & Rosati, the premier provider of legal services to technology, life sciences, and growth enterprises worldwide, announced the addition of Marc Berger to its recently launched General Counsel in Residence (GCIR) program. With over 25 years of experience, Berger’s background centers on treating data as a strategic asset, guiding organizations through the legal and regulatory complexities of health data and AI strategies, go-to-market planning, and effective agreement negotiation.

"Marc’s proven track record of navigating complex regulatory and business challenges within the digital health sector makes him a great addition to our GCIR program," said Megan Baier, a board member and leader in Wilson Sonsini’s digital health practice. "With extensive leadership experience in senior legal and executive roles, he has successfully guided organizations through periods of transformative growth, intricate transactions, exit events and operational hurdles. Marc will be an immense asset to both our firm and our clients."

Since 2023, Berger has served as chairman of the board for Instem, a leading provider of preclinical trial solutions for drug development. Engaged by Archimed, a healthcare-focused private equity firm, he participated in the due diligence process during Archimed’s acquisition of Instem, focusing on the review of commercial agreements, strategic positioning, and the legal aspects of the "take-private" transaction. Following the acquisition, Berger manages Instem’s seven-member board, ensuring compliance with corporate governance standards, while playing a key role in steering committees dedicated to enhancing operational efficiencies and optimizing leadership structures to support long-term growth.

Further to his board role at Instem, Berger serves on the board of the Metrodora Foundation, which supports the Metrodora Institute’s mission to advance research and treatment for neuro-immune axis disorders. He was instrumental in the structuring and creation of the Institute, with a strong emphasis on leveraging clinical care and data to propel research in this space.

From 2018 to 2023, Berger held senior leadership roles at Verana Health, Inc., including chief operating officer, chief executive officer, and senior vice president and general counsel. During this time, he managed the legal, compliance, and risk mitigation functions, leading the company’s strategic partnerships with major medical organizations such as the American Academy of Ophthalmology, the American Academy of Neurology, and the American Urological Association. These partnerships, representing over 90 million patients and 4,000 practices, solidified Verana’s standing in the healthcare data space.

Before joining Verana Health, Berger was general counsel and a key member of the executive team at Flatiron Health, a healthcare technology company backed by Google Ventures and acquired by Roche Pharmaceuticals in 2018 for $2.1 billion. He played a critical part in negotiating the acquisition, one of the most significant healthcare technology transactions of the last decade.

In addition to his roles at Instem, Verana, and Flatiron Health, Berger has held legal positions at Medidata Solutions, Avaya Holdings, and other large law firms, where he worked on corporate transactions, intellectual property, compliance, and operational management.

Berger earned a J.D. and M.B.A. from the University of Miami and a B.S. from Penn State University.

Launched in February 2025, Wilson Sonsini’s GCIR program provides clients with short-term access to peers who have navigated similar challenges. By leveraging these shared experiences, clients gain insights into operational obstacles, avoid common pitfalls, and make more informed legal decisions. It complements Wilson Sonsini's Executive Advisory Program (EAP), which offers tailored, long-term support to companies at all stages of growth, from startups to multinational corporations.
