Wilson Sonsini Advises FTAI Aviation's Special Committee on Internalization
On May 28, 2024, FTAI Aviation (FTAI), an owner and operator of commercial jet engines, announced that it has entered into definitive agreements providing for the internalization of the company’s management operations. Pursuant to the internalization agreement, FTAI and FIG LLC terminated the Management and Advisory Agreement dated July 31, 2022, and the Services and Profit Sharing Agreement dated November 10, 2022, effective as of May 28, 2024. FTAI's board of directors established a special committee of independent and disinterested directors to negotiate and approve the terms of the internalization. On October 21, 2022, Hawaiian Holdings, Inc., the parent company of Hawaiian Airlines, Inc., announced an agreement with Amazon.com, Inc. in which Hawaiian will operate and maintain aircraft to move cargo for Amazon. As part of the transaction, Hawaiian issued Amazon warrants to purchase up to 15 percent of its shares of common stock, exercisable over nine years. On September 14, 2022, Amprius Technologies, Inc., a lithium-ion batteries manufacturer, announced the completion of its business combination with Kensington Capital Acquisition Corp IV, a special purpose acquisition company. The company has begun trading on the New York Stock Exchange under the ticker symbol “AMPX.” The transaction will provide Amprius with approximately $87 million of gross proceeds, which will be used to support the company through the construction of its gigawatt hour-scale manufacturing facility.
