On March 13, 2026, Agero, a software-enabled driver safety services and technology company, announced that it has entered into an agreement to acquire Urgent.ly (Urgently), a digital software platform that provides roadside and mobility assistance, for a cash price of $5.50 per share. The tender offer and merger are expected to close by the end of May 2026, subject to satisfaction of customary closing conditions. Wilson Sonsini Goodrich & Rosati advised Urgently on the transaction.

Wilson Sonsini Advises DispatchHealth on Merger with Medically Home
On March 18, 2025, DispatchHealth, a leading provider of high-acuity, in-home medical care for people experiencing serious health concerns, and Medically Home, an established hospital-at-home technology enablement model for health systems and physician groups to safely provide emergency and hospital-level care at home for qualified patients, announced that they have entered into a definitive agreement to merge. The merger creates the country's most comprehensive provider of advanced medical care at home. Wilson Sonsini Goodrich & Rosati advised DispatchHealth on the transaction.

Once the deal closes, Medically Home will become part of DispatchHealth. The combined entity will extend care into the homes of patients across 50 major metropolitan areas in partnership with nearly 40 health systems, as well as most major health plans and value-based care entities. The merger is expected to close mid-year 2025, subject to customary closing conditions and regulatory approvals.

On September 19, 2024, GC Therapeutics (GCTx), a biopharmaceutical company created to scale and unlock the next generation of cell therapy-based medicines, launched and announced the successful completion of a $65 million Series A financing led by Cormorant Asset Management with participation from Mubadala Capital, Andreessen Horowitz (a16z) Bio + Health, Medical Excellence Capital, Cercano Management, and Pear VC, bringing the total capital raised by GCTx to $75 million. Wilson Sonsini Goodrich & Rosati advised GC Therapeutics on the transaction.

Wilson Sonsini Advises ThayerMahan on $20 Million in Additional Series C Funding
On January 9, 2024, ThayerMahan, a world leader in autonomous maritime surveillance solutions, closed $20 million in follow-on Series C funding led by Hanwha Asset Management.  Existing investors, including MC2, AE Industrial, I Squared Capital, and Yellow Sub Funding participated pro rata in the round.  The investment follows a $30 million Series C investment led by MC2 in April 2023. Wilson Sonsini Goodrich & Rosati advised ThayerMahan on the transaction.

On July 27, 2021, Artios Pharma, a leading DNA Damage Response company, announced the completion of a US$153 million (£110 million) Series C financing to fund further development of its promising clinical-stage pipeline. The financing was co-led by Omega Funds and TCG X. Additional investors include Avidity Partners, Invus, Deep Track Capital, Sofinnova Partners, Tetragon Financial Group, RTW Investments, Soleus Capital, Piper Heartland Healthcare Capital, CaaS Capital Management, and Schroders Capital. These new investors join existing investors Arix Bioscience, SV Health Investors, Andera Partners, Life Sciences Partners, M Ventures, Pfizer Ventures, IP Group, and Novartis Venture Fund who also continue to support Artios through their participation. On June 12, Foundation Medicine (member of the Roche Group), a Massachusetts-based molecular information company providing genomic profiling services that help personalize cancer care, announced that it had completed the acquisition of Lexent Bio, Inc. Wilson Sonsini Goodrich & Rosati advised Lexent Bio in the transaction and has advised Lexent Bio since its formation. The total potential consideration was undisclosed, but included an upfront payment as well as contingent milestone payments.
