Firm Advises Matterworks on IP and Patent Matters Related to Series A Financing
On June 3, 2025, Matterworks, Inc., the category-defining pioneer unlocking unstructured molecular data for predictive biology, announced a new Series A financing. The round was led by Lewis & Clark Partners and OMX Ventures and joined by Pillar VC, Germin8 Ventures, Intermountain Ventures, and Tarsadia, among others. Matterworks will use the Series A proceeds to grow its model as a service (MaaS) business and expand its machine learning and scientific operations. For example, Matterworks' Large Spectral Models (LSMs) productize self-supervised machine intelligence for direct machine interpretation of molecular-omic data. The company’s PyxisTMproduct, released in 2024, is the first generative AI for complete untargeted molecular annotation, unlocking new data modalities for understanding and predicting complex biological outcomes.

On June 26, 2024, Verona Pharma announced that the U.S. Food and Drug Administration approved Ohtuvayre (ensifentrine) for the maintenance treatment of chronic obstructive pulmonary disease (COPD) in adult patients. Ohtuvayre is the first inhaled product with a novel mechanism of action available for the maintenance treatment of COPD in more than 20 years. On February 9, 2023, GE HealthCare, a leading global precision care innovator, announced that it has signed an agreement to acquire Caption Health, Inc., a privately owned artificial intelligence (AI) healthcare leader that creates clinical applications to aid in early disease detection, using AI to assist in conducting ultrasound scans. Financial terms of the transaction are not being disclosed. Wilson Sonsini Goodrich & Rosati advised Caption Health on the acquisition.
With Caption AI applications, ultrasound examinations can be easier and faster, enabling a broader set of healthcare professionals to conduct basic echocardiogram exams. This technology can help detect signs of diseases like heart failure in at-risk patients across doctors’ offices, the home, and alternate sites of care, potentially preventing hospitalizations and supporting improved clinical outcomes.

Wilson Sonsini Advises Vida Ventures on Vigil Neuroscience’s $90 Million Series B Financing
On August 18, 2021, Vigil Neuroscience, a biotechnology company harnessing the power of microglia for the treatment of neurodegenerative diseases, announced the completion of a $90 million Series B financing. The financing was led by Vida Ventures with participation from existing investors Atlas Venture, Northpond Ventures, and Hatteras Venture Partners as well as new investors including Surveyor Capital (a Citadel company), Cormorant Asset Management, Invus, OrbiMed, Rock Springs Capital, Deep Track Capital, Logos Capital, Pivotal bioVenture Partners, and Lightstone Ventures. Wilson Sonsini Goodrich & Rosati represented Vida Ventures in the transaction.

Vigil is developing both a fully human monoclonal antibody, VGL101, and small molecule agonists of triggering receptor on myeloid cells 2 (TREM2), an essential microglia sensor that mediates responses to environmental signals to maintain brain homeostasis.
