Wilson Sonsini Advises General Atlantic on IP Matters Related to Verdiva Bio’s Formation and $410 Million Series A
On January 9, 2025, Verdiva Bio Limited announced its launch as a clinical-stage biopharmaceutical company focused on developing innovative therapies for obesity and other cardiometabolic disorders. Verdiva launched with an oversubscribed Series A financing of $411 million, co-led by General Atlantic and Forbion, with additional participation from RA Capital Management, OrbiMed, Logos Capital, Lilly Asia Ventures, and LYFE Capital (collectively, “the Investor Group”). Wilson Sonsini Advises Vividion on Patent Matters Related to $1.5 Billion Acquisition by Bayer
On August 5, 2021, Bayer AG announced the acquisition of Vividion Therapeutics, Inc., a U.S.-headquartered biopharmaceutical company utilizing novel discovery technologies to unlock high-value, traditionally undruggable targets with precision therapeutics. Vividion’s platform is able to produce a variety of small molecule therapies across indications, with initial focus on targets relevant to oncology and immunology. Vividion’s lead programs include multiple precision oncology targets and precision immunology targets, with ongoing efforts on a transcription factor NRF2 antagonist for the potential treatment of NRF2 mutant cancers, as well as NRF2 activators for various inflammatory diseases such as irritable bowel disease, among other pre-clinical programs. Wilson Sonsini Advises Design Therapeutics on Patent Matters Related to $276 Million IPO
On March 30, 2021, Design Therapeutics, Inc. (Design), a biotechnology company developing a platform of gene targeted chimera (GeneTAC™) small molecules for the treatment of serious degenerative disorders caused by inherited nucleotide repeat expansions, announced the closing of its previously announced initial public offering of 13,800,000 shares of its common stock, which includes 1,800,000 shares sold pursuant to the exercise in full by the underwriters of their option to purchase additional shares, at a price to the public of $20 per share. Including the option exercise, the aggregate gross proceeds to Design from the offering were approximately $276 million, before deducting the underwriting discounts and commissions and offering expenses. The shares began trading on the Nasdaq Global Select Market on March 26, 2021, under the ticker symbol “DSGN.”
