On November 13, 2024, OneSkin, a biotech skin health brand, announced the successful completion of an oversubscribed Series A financing led by Selva Ventures, with participation from PLUS Capital, Unilever Ventures, Able Partners, and former investors SOSV, Meta Planet, and additional investors. The latest round brings the total company funding to $20 million. On June 10, 2024, Amber Therapeutics, a UK-based medical technology company, successfully closed a Series A financing, raising $100 million (£80 million) from leading healthcare and technology investors in the U.S. and U.K. The round, one of the largest Series A financings in Europe for a medical technology company, was led by New Enterprise Associates and included new investors F-Prime Capital, Lightstone Ventures, and Intuitive Ventures, along with existing investors Oxford Science Enterprises and 8VC. Wilson Sonsini Goodrich & Rosati advised Amber on IP matters and U.S. corporate, tax, and CFIUS issues in the transaction.

FTC Disputes Patent Listings of 10 Brand Drug Makers as Improperly Listed in FDA’s Orange Book
On November 7, 2023, the Federal Trade Commission (FTC) sent notice letters1 to 10 brand drug manufacturers of drug-device combination products, including drugs delivered by asthma inhalers, epinephrine autoinjectors, and cyclosporine dropper bottles. The FTC announced that the agency intends to avail itself of the regulatory process under 21 C.F.R. § 314.53(f)(1) and submitted patent listing dispute communications to the U.S. Food and Drug Administration (FDA) regarding more than 60 unique patents in over 100 Orange Book listings as improperly or inaccurately listed. The FTC’s actions follow its recent policy statement issued on September 14, 2023, warning pharmaceutical companies that they could face enforcement actions by the FTC for improperly listing patents in the Orange Book as an unfair method of competition in violation of Section 5 of the FTC Act.

Wilson Sonsini Advises Quince Therapeutics on Patent Matters Related to EryDel SpA Acquisition
On October 23, 2023, Quince Therapeutics, Inc., a late-stage biotechnology company developing an innovative drug delivery technology that leverages a patient’s own biology to deliver rare disease therapeutics, announced the successful completion of its acquisition of EryDel S.p.A., a privately-held, late-stage biotech company. Quince’s newly acquired Phase 3 lead asset, EryDex, targets a rare neurodegenerative disease, Ataxia-Telangiectasia (A-T). Currently, there are no approved treatments for A-T and the market represents a $1+ billion estimated peak sales opportunity globally. EryDex utilizes a highly differentiated and proprietary technology platform for autologous intracellular drug encapsulation (AIDE), which is designed to optimize the biodistribution of dexamethasone sodium phosphate (DSP; a pro-drug) by using an A-T patient’s own red blood cells to deliver the sustained therapeutic over a once monthly treatment period.

Firm Advises NanoCellect on IP Matters Related to $35 Million Series C & D Financing
On September 16, 2021, microfluidic cell sorting company NanoCellect Biomedical announced the closing of $35 million in Series C and D financing rounds. The $15 million Series C round was led by Vertical Venture Partners (VVP) and joined by existing investors Agilent, Illumina Ventures, and FusionX Ventures, as well as new investors Yonjin Capital and Sagian Equity. The $20 million Series D round was led by Warburg Pincus, with participation from new investor Casdin Capital, joined by existing investors Illumina Ventures, VVP, Anzu Partners, FusionX Ventures, and Sagian Equity. Wilson Sonsini Goodrich & Rosati advises NanoCellect on IP matters and represented the company in patent matters related to the Series C and D financing rounds.
