On October 28, 2025, GSK and Empirico, a clinical-stage biotechnology company with leading capabilities in human genetics-driven target discovery and siRNA medicines, announced that they have entered into a worldwide exclusive license agreement for EMP-012, a highly selective first- and potentially best-in-class siRNA, a type of oligonucleotide. Wilson Sonsini Advises IGM Biosciences on Collaboration Agreement
On March 29, 2022, Sanofi and IGM Biosciences, Inc. announced the signing of an exclusive worldwide collaboration agreement to create, develop, manufacture, and commercialize IgM antibody agonists against three oncology targets and three immunology/inflammation targets. Engineered IgM antibodies represent a new class of potential therapeutics that combine the multi-valency of IgM antibodies possessing 10 binding sites compared to conventional IgG antibodies having only two target binding sites. Under the terms of the agreement, IGM will receive a $150 million upfront payment and potentially over $6 billion in aggregate development, regulatory, and commercial milestones. A 50:50 profit share in certain major market countries and tiered royalties in the rest of world is planned for oncology targets, and IGM will receive tiered royalties for autoimmune/inflammation targets. Firm Advises Synthekine on Collaboration with Merck to Develop Therapeutic Candidates
On November 1, 2021, Synthekine Inc., an engineered cytokine therapeutics company, announced that it has entered into a worldwide research collaboration and license agreement with Merck, known as MSD outside the United States and Canada. The collaboration will leverage Synthekine’s proprietary surrogate cytokine agonist platform to discover, develop, and commercialize novel cytokine therapeutics. Wilson Sonsini Goodrich & Rosati advised Synthekine on the transaction.

Under the terms of the agreement, Synthekine is responsible for initial research efforts in collaboration with Merck, and Merck will have exclusive rights to develop, manufacture, and commercialize surrogate cytokine agonists for up to two cytokine targets. Initially, the collaboration will focus on a target that has the potential to treat autoimmune diseases. Merck will make an upfront payment and will make an additional one-time payment if it designates a second target. Synthekine will be eligible for up to $525 million in development, regulatory, and commercialization milestones, as well as tiered royalties on net sales, for each target. Merck will provide research funding to Synthekine for programs under the collaboration.

Wilson Sonsini Advises Tenaya Therapeutics on $207 Million IPO
On August 3, 2021, Tenaya Therapeutics, a biotechnology company with a mission to discover, develop, and deliver curative therapies that address the underlying causes of heart disease, announced the closing of its underwritten, upsized initial public offering of 13,800,000 shares of its common stock, which includes the exercise in full of the underwriters’ option to purchase 1,800,000 additional shares of its common stock, at an initial public offering price of $15.00 per share. The aggregate gross proceeds from the offering were $207.0 million, before deducting underwriting discounts and commissions and offering expenses payable by Tenaya. All shares in the offering were offered by Tenaya. The shares began trading on the Nasdaq Global Select Market on July 30, 2021, under the ticker symbol “TNYA.”
