On February 6, 2026, the Hong Kong International Arbitration Centre (HKIAC) issued a partial award (the Partial Award) in a dispute between Leed Education Holding Limited, National Education Holding Limited, and Hyde Education Holding Limited (collectively, the Claimants) and Minsheng Vocational Education Company Limited (the Respondent), a subsidiary of Minsheng Education Group Company Limited (Minsheng Education). Wilson Sonsini Advises HashiCorp on $6.4 Billion Acquisition by IBM
On April 24, 2024, IBM and HashiCorp Inc., a leading multi-cloud infrastructure automation company, announced that they have entered into a definitive agreement under which IBM will acquire HashiCorp for $35 per share in cash, representing an enterprise value of $6.4 billion. Wilson Sonsini Goodrich & Rosati is advising HashiCorp on the transaction.

HashiCorp's suite of products provides enterprises with extensive Infrastructure Lifecycle Management and Security Lifecycle Management capabilities to enable organizations to automate their hybrid and multi-cloud environments. IBM’s acquisition continues its deep focus and investment in hybrid cloud and AI, the two most transformational technologies for clients today.

HashiCorp boasts a roster of more than 4,400 clients, including Bloomberg, Comcast, Deutsche Bank, GitHub, J.P Morgan Chase, Starbucks, and Vodafone. HashiCorp's offerings have widescale adoption in the developer community and are used by 85 percent of the Fortune 500. Their community products across infrastructure and security were downloaded more than 500 million times in HashiCorp's FY2024.

The boards of directors of IBM and HashiCorp have both approved the transaction, which is subject to approval by HashiCorp shareholders, regulatory approvals, and other customary closing conditions. The transaction is expected to close by the end of 2024.

FCC Rules AI-Generated Voices Are “Artificial” Under the TCPA
The Federal Communications Commission (FCC) recently declared that AI-generated voices do fall within the meaning of “artificial” under the Telephone Consumer Protection Act (TCPA) in a ruling issued on February 8, 2024.1 The ruling follows a recent surge in robocalling and robotexting using AI technologies that simulate a human voice or that generate call content using a prerecorded voice, resulting in a significant number of complaints from consumers and attorneys general. Going forward, businesses and callers who use AI-generated voices will need to ensure they first obtain, at a minimum, prior express consent from the receiving party and otherwise comply with the requirements of the TCPA.

Recent $455 Million Payment Reaffirms Certainty of International Arbitral Awards
One of the most often overlooked features of arbitration in the context of international commercial disputes is the certainty provided by a final award. Recently, Dow Agrosciences paid Bayer Cropscience more than $455 million to satisfy an arbitral award rendered by an International Chamber of Commerce (ICC) tribunal. On July 6, 2017, the U.S. District Court for the Eastern District of Virginia released the supersedeas bond securing that payment.1
