Firm Advises Matterworks on IP and Patent Matters Related to Series A Financing
On June 3, 2025, Matterworks, Inc., the category-defining pioneer unlocking unstructured molecular data for predictive biology, announced a new Series A financing. The round was led by Lewis & Clark Partners and OMX Ventures and joined by Pillar VC, Germin8 Ventures, Intermountain Ventures, and Tarsadia, among others. Matterworks will use the Series A proceeds to grow its model as a service (MaaS) business and expand its machine learning and scientific operations. For example, Matterworks' Large Spectral Models (LSMs) productize self-supervised machine intelligence for direct machine interpretation of molecular-omic data. The company’s PyxisTMproduct, released in 2024, is the first generative AI for complete untargeted molecular annotation, unlocking new data modalities for understanding and predicting complex biological outcomes.

On January 22, 2025, Sonocharge Energy, an innovative tech company enabling the world's batteries to last longer, charge faster, and be safer, announced a $23.5 million financing round led by ClimateTech’s venture capital firm Cycle Capital, with participation from Honda, current investor Khosla Ventures, Temasek, and non-dilutive funding partners. Firm Advises Kinematics on IP Matters Related to Acquisition of P4Q
On November 20, 2024, Kinematics, a global leader in intelligent motion control, announced it has signed a definitive agreement to acquire P4Q, an industry leader in electronics for solar tracker controllers, industrial automation, sensors, and cloud-based monitoring. This strategic acquisition will enable Kinematics to better serve the world’s leading solar tracker original equipment manufacturers (OEMs) with expanded global reach and a unified motion control solution that simplifies installation, commissioning, and maintenance.

By integrating P4Q’s capabilities into the Kinematics portfolio of actuators, sensors, and controllers, the combination will offer unprecedented energy efficiency, reliability, and precision to improve utility-scale solar production worldwide. The unified offering will support new and existing projects alike, providing solar tracker customers with the most advanced motion control systems for future installations, while also giving asset owners a path toward upgrading outdated systems. The combined technologies will also become the industry’s most reliable, field-tested, and bankable motion control solution.

On October 1, 2024, Pure Lithium Corporation, a disruptive Boston-based vertically integrated lithium metal battery technology company, announced the acquisition of all the assets of Dimien Inc., a private U.S. vanadium cathode materials company. Pure Lithium acquired Dimien’s intellectual property, know-how, and manufacturing equipment. Dimien's experienced team will also join the company. Wilson Sonsini Goodrich & Rosati advised Pure Lithium on the transaction.

Bipartisan Legislation Seeks to Clarify Which Inventions Are Patent Eligible
The U.S. patent system is based upon a quid pro quo balance that incentivizes innovation via a time-limited patent exclusivity, while encouraging the dissemination of new ideas for public benefit and use upon expiration of the patented innovation. However, for some innovative technologies, such as personalized medicine, diagnostics, and artificial intelligence (AI), case law developed within the past decade has made obtaining patent protection increasingly difficult. This has led to a lack of clarity and incentive for some innovators to develop technologies that may not be eligible for patent protection.1

On July 15, 2021, Aurora, the self-driving technology company, has entered into a definitive business combination agreement with Reinvent Technology Partners Y (Reinvent), a special purpose acquisition company (SPAC). Upon closing of the proposed transaction, the combined company will be named Aurora Innovation, Inc. and be publicly traded, with its common stock expected to be listed on Nasdaq with the ticker symbol "AUR."
