Firm Advises Edgewise Therapeutics on Its Sale of Sevasemten for up to $2.65 Billion
On June 1, 2026, Edgewise Therapeutics, a leading muscle disease biopharmaceutical company, announced that it has entered into a definitive agreement under which Servier, an independent international pharmaceutical group governed by a foundation, will acquire sevasemten, an orally administered fast skeletal myosin inhibitor in late-stage clinical trials in Becker and Duchenne muscular dystrophies, and Edgewise's muscular dystrophy business for $1.55 billion in upfront cash consideration and up to $1.1 billion in additional milestone payments, for aggregate potential consideration of up to $2.65 billion. The transaction strengthens Edgewise’s balance sheet, providing enhanced financial flexibility and sharpening the company’s strategic focus to accelerate and unlock the full potential of its cardiovascular pipeline. Wilson Sonsini Advises Genyro on License Agreement with Caltech for “Sidewinder” Technology
On January 26, 2026, Genyro Inc., an early-stage, California-based biotechnology company advancing next-generation DNA construction, announced that it has entered into an exclusive licensing agreement with the California Institute of Technology (Caltech) for Sidewinder™, a breakthrough DNA construction invention recently featured in Nature. Wilson Sonsini Goodrich & Rosati advises Genyro on IP and corporate matters and represented the company in the licensing agreement with Caltech.

Sidewinder represents the first DNA construction technology based on DNA 3-Way Junctions (3WJ), enabling the accurate construction of long, complex, and highly repetitive DNA sequences that have historically been challenging to build. The technology was developed by Professor Kaihang Wang, tenure-track assistant professor of biology and biological engineering at Caltech and co-founder and chief scientific advisor at Genyro. It is the first DNA construction method to separate the sequence information of the final assembled DNA product from the information guiding its assembly.

Firm Advises Taiho Pharmaceutical on Acquisition of Araris Biotech for Up to $1.1 Billion
On March 17, 2025, Taiho Pharmaceutical Co., Ltd., an R&D-driven specialty pharmaceutical company focusing on the fields of oncology and immune-related diseases, and Araris Biotech AG, a Swiss biotechnology company developing next-generation antibody drug conjugates (ADCs), announced that they have entered into a definitive agreement pursuant to which Taiho Pharmaceutical will acquire Araris. Under the terms of the agreement, Taiho Pharmaceutical will pay $400 million at closing, with the potential for additional milestone payments of up to $740 million. The acquisition, which is expected to be completed in the first half of 2025, follows a research collaboration between Taiho Pharmaceutical and Araris signed in November 2023. Wilson Sonsini Goodrich & Rosati advised Taiho Pharmaceutical on the acquisition.

Araris is a spin-off company of the Paul-Scherrer-Institute in Switzerland and is pioneering the development of best-in-class ADCs with superior design, high linker solubility, and simple manufacturing that address the shortcomings of current generation ADCs. Taiho Pharmaceutical, in addition to antimetabolites, has established and created novel drugs through its proprietary small molecule drug discovery platform, Cysteinomix, enhancing cancer treatment and contributing to patient care. By acquiring Araris' innovative ADC drug discovery technology platform, Taiho Pharmaceutical will further expand its ongoing development portfolio in the field of oncology.

Wilson Sonsini Advises Ochre Bio on $37.5 Million License Agreement with GSK to Investigate Liver Disease
On June 12, 2024, Ochre Bio, a pioneer in chronic liver disease medicine development, announced the start of a multi-year data license agreement with GSK. The partnership will provide GSK with access to Ochre Bio’s computational biology, cellular, and perfused human organ platforms to generate proprietary human liver datasets and non-exclusive access to their extensive library of historical liver data. This license agreement includes data to be generated from single-cell sequencing to study cell populations in perfused human livers, as well as data generated from large-scale gene perturbation in human liver cells. The deal has a total value of up to $37.5 million for both co-exclusive and non-exclusive data licenses.

Wilson Sonsini Advises Recursion on Machine Learning-Based Drug Discovery Collaboration with Roche, Genentech
On December 7, 2021, Recursion, a clinical-stage biotechnology company decoding biology to radically improve lives by industrializing drug discovery, development, and beyond, announced a transformational collaboration with Roche and Genentech, a member of the Roche Group. Recursion will work with both Roche and Genentech's R&D units to leverage technology-enabled drug discovery through the Recursion Operating System (OS) to more rapidly identify novel targets and advance medicines in key areas of neuroscience as well in an oncology indication. Under the terms of the agreement, Recursion will receive an upfront payment of $150 million and is eligible for additional performance-based research milestones. Under the collaboration, Roche and Genentech (combined) may initiate up to 40 programs, each of which, if successfully developed and commercialized, could yield more than $300 million in development, commercialization, and net sales milestones for Recursion, as well as tiered royalties on net sales.

On November 15, 2021, Kala Pharmaceuticals, a commercial-stage biopharmaceutical company focused on the discovery, development, and commercialization of innovative therapies for diseases of the eye, announced that it has acquired Combangio, a private, clinical-stage company developing regenerative biotherapies for severe ocular surface diseases. Combangio is developing CMB-012, a novel investigational secretome therapy, now known as KPI-012, to address the complex wound healing process in persistent corneal epithelial defect (PCED) and other severe ocular diseases driven by impaired corneal healing. Wilson Sonsini Goodrich & Rosati represented Combangio in the transaction.
