On March 26, 2026, Pinnacle Medicines, a biotechnology company pioneering the development of oral peptide therapeutics using proprietary AI and physics-based platforms, announced the closing of an oversubscribed $89 million Series B financing. The round was co-led by LAV and Foresite Capital, with participation from Quan Capital, Hankang Capital, RA Capital Management, Logos Capital, and existing investors including OrbiMed. Wilson Sonsini Goodrich & Rosati advised Pinnacle on corporate and IP matters related to the transaction.

On July 29, 2024, biopharmaceutical company Boehringer Ingelheim announced its acquisition of Nerio Therapeutics, a drug discovery and development company focused on phosphatases, a notoriously difficult class of potentially high-value therapeutic protein targets, and its preclinical program of novel immune checkpoint inhibitors for up to $1.3 billion. Wilson Sonsini Goodrich & Rosati advised Nerio Therapeutics on IP related to the transaction and advises the company on patent matters.

Wilson Sonsini Advises Boundless Bio on IP Matters Related to IPO
On March 27, 2024, Boundless Bio, a clinical stage oncology company interrogating extrachromosomal DNA (ecDNA) biology to deliver transformative therapies to patients with previously intractable oncogene amplified cancers, announced the pricing of its initial public offering of 6,250,000 shares of its common stock at an initial public offering price of $16.00 per share. All of the shares were offered by Boundless Bio. The gross proceeds from the offering, before deducting underwriting discounts and commissions and other offering expenses, are expected to be $100.0 million. Boundless Bio’s common stock began trading on the Nasdaq Global Select Market on March 28, 2024, under the ticker symbol “BOLD," and closed on April 2, 2024. In addition, Boundless Bio has granted the underwriters a 30-day option to purchase up to an additional 937,500 shares of common stock at the initial public offering price, less underwriting discounts and commissions.

On January 4, 2024, Stemline Therapeutics, Inc. (Stemline), a wholly owned subsidiary of the Menarini Group focused on bringing transformational oncology treatments to cancer patients, and Insilico Medicine (Insilico), a clinical-stage generative artificial intelligence (AI)-driven biotechnology company, announced they have entered into an exclusive licensing agreement granting Stemline global rights to develop and commercialize a novel, small molecule KAT6A inhibitor designed using Insilico's AI platform as a potential treatment for hormone sensitive cancers and other oncology indications. Under the terms of the agreement, Stemline will pay to Insilico a $12 million upfront payment; potential development, regulatory, and commercial milestones in excess of $500 million; and royalties.

On December 26, 2023, Bristol Myers Squibb (NYSE: BMY), a global biopharmaceutical company, and RayzeBio Inc. (Nasdaq: RYZB),  a clinical-stage radiopharmaceutical therapeutics company, announced that they had entered into a definitive agreement pursuant to which Bristol Myers Squibb will acquire RayzeBio for $62.50 per share in cash, for a total equity value of approximately $4.1 billion, or $3.6 billion net of estimated cash acquired. Wilson Sonsini Goodrich & Rosati advised RayzeBio on patent matters related to the transaction.

Wilson Sonsini Advises Venatorx on IP Matters Related to Licensing Agreement with Melinta
On November 9, 2023, Melinta Therapeutics LLC (Melinta) and Venatorx Pharmaceuticals, Inc. (Venatorx), announced that they have entered into a license agreement to facilitate a strategic partnership in the U.S. to commercialize cefepime-taniborbactam, a beta-lactam / beta-lactamase inhibitor (BL/BLI) combination antibiotic being developed for the treatment of complicated urinary tract infections (cUTI) and hospital-acquired bacterial pneumonia and ventilator-associated bacterial pneumonia (HABP/VABP) in adults. The partnership follows Venatorx’s submission of a New Drug Application for cefepime-taniborbactam for the treatment of cUTI including pyelonephritis, in adults. Venatorx has been assigned a Prescription Drug User Fee Act target action date for February 22, 2024. The U.S. Food and Drug Administration granted cefepime-taniborbactam Qualified Infectious Disease Product and Fast Track designations for both the cUTI and HABP/VABP indications.

Firm Advises RayzeBio on IP Matters Related to $311 Million IPO
On September 14, 2023, RayzeBio, Inc., a targeted radiopharmaceutical company developing an innovative pipeline against validated solid tumor targets, announced the pricing of its upsized $311 million initial public offering of 17,277,600 shares of common stock at a price to the public of $18.00 per share. RayzeBio is offering 16,114,600 shares of common stock and the selling stockholder named in the prospectus is offering 1,163,000 shares of common stock. Wilson Sonsini Goodrich & Rosati advised RayzeBio on all IP matters leading up to and with respect to the IPO.  

The gross proceeds to RayzeBio from the offering, before deducting underwriting discounts and commissions and other offering expenses payable by RayzeBio, are expected to be approximately $290.1 million. In addition, RayzeBio has granted the underwriters a 30-day option to purchase up to an additional 2,591,640 shares of common stock at the initial public offering price, less underwriting discounts and commissions.

Wilson Sonsini Advises RayzeBio on Patent Matters Related to $160 Million Series D
On September 13, 2022, RayzeBio, Inc., a targeted radiopharmaceutical company developing an innovative pipeline against validated solid tumor targets, announced a $160 million Series D financing co-led by Viking Global Investors, Sofinnova Investments, and Wellington Management. Additional new investors Ally Bridge Group, Sands Capital, Laurion Capital Management, Soleus Capital, and an undisclosed global investor also participated, as did RayzeBio’s current investors. With this latest financing, RayzeBio has now raised $418 million since beginning operations in August 2020.

According to RayzeBio’s president and CEO, Ken Song, M.D., the financing provides the company the ability to further expand its leadership in targeted radiopharmaceuticals and allows it to reach several major value inflection points both clinically and operationally. RayzeBio has advanced its lead drug candidate, RYZ101, which delivers Ac225, a highly potent alpha-emitting radioisotope, into clinical trials for multiple solid tumor indications. A Phase 1b clinical trial is currently enrolling patients with neuroendocrine tumors and Phase 3 studies could begin as early as 2023.

Wilson Sonsini’s patents and innovations group, led by Ying Chen, represented RayzeBio in patent matters related to the transaction. Also included on the team were Michael Hostetler, Céline Bonnefous, and Michael Wormald.

RA Capital Management and Nextech Invest co-led the financing, with participation from a top-tier syndicate of funds, including Fidelity Management & Research Company LLC, Redmile Group, Wellington Management, Surveyor Capital (a Citadel company), PFM Health Sciences, and Logos Capital. Current investors ARCH Venture Partners, City Hill Ventures, Vertex Ventures HC, GT Healthcare Capital Partners, Boxer Capital of Tavistock Group, and Alexandria Venture Investments also participated in the Series B. With the proceeds of the financing, the company will advance into the clinic multiple ecDNA-directed therapeutic programs and the accompanying ecDNA Harboring Oncogenes (ECHO™) companion diagnostic and expand its pipeline of novel cancer therapies targeting ecDNA.
