On May 7, 2026, Odyssey Therapeutics, a clinical-stage biopharmaceutical company seeking to transform the standard of care for patients suffering from autoimmune and inflammatory diseases by developing medicines that are designed to precisely target disease pathology, announced the pricing of its upsized initial public offering of 15,500,000 shares of its common stock at an initial public offering price of $18.00 per share. In addition, Odyssey has granted the underwriters a 30-day option to purchase up to an additional 2,325,000 shares of common stock at the initial public offering price, less underwriting discounts and commissions. Odyssey’s common stock began trading on the Nasdaq Capital Market on May 8, 2026, under the ticker symbol “ODTX.” The offering closed on May 11, 2026. On January 7, 2026, Eli Lilly and Company announced that it has entered into a definitive agreement to acquire Ventyx Biosciences, Inc., a San Diego-based clinical-stage biopharmaceutical company focused on developing innovative oral therapies for patients with inflammatory-mediated diseases. Under the terms of the agreement, Lilly will acquire all the outstanding shares of Ventyx in an all-cash transaction, valuing at approximately $1.2 billion. On December 13, 2025, Sobi announced it has entered into a definitive agreement to acquire Arthrosi Therapeutics, Inc., a private late-stage biotechnology company focused on developing a next-generation treatment for gout. Sobi will pay $950 million upfront in cash and up to $550 million in cash in clinical, regulatory and sales milestones. On March 12, 2025, Vivace Therapeutics, Inc., a small molecule discovery and development company developing first-in-class cancer therapies targeting the Hippo pathway, announced the closing of a $35 million Series D financing. The round was led by RA Capital Management, an existing investor, and included investment from other existing investors Canaan Partners and Cenova Capital. Wilson Sonsini Goodrich & Rosati advised Vivace on patent matters related to the transaction.

Proceeds from the financing will support the continued clinical development of the company's first-in-class and best-in-class transcriptional enhanced associate domain (TEAD) autopalmitoylation inhibitor, VT3989, with an initial focus on mesothelioma.

On November 20, 2024, Kura Oncology, Inc., a clinical-stage biopharmaceutical company committed to realizing the promise of precision medicines for the treatment of cancer, and Kyowa Kirin Co., a Japan-based global specialty pharmaceutical company, announced that they have entered into a global strategic collaboration to develop and commercialize ziftomenib, Kura’s selective oral menin inhibitor that is being investigated for the treatment of patients with acute myeloid leukemia (AML) and other hematologic malignancies. Wilson Sonsini Advises Autobahn Therapeutics on IP Matters Related to $100 Million Series C Round
On July 24, 2024, Autobahn Therapeutics, a biotechnology company developing restorative treatments for people affected by neuropsychiatric and neuroimmunologic disorders, announced the closing of an oversubscribed $100 million Series C financing. Proceeds from the financing round will be used to commence two Phase 2 clinical trials for the company’s lead program, ABX-002, a potent and selective thyroid hormone beta receptor (TRβ) agonist that was well-tolerated and demonstrated CNS target engagement in a Phase 1 study. In the second half of 2024, Autobahn plans to initiate Phase 2 trials designed to provide biological and clinical proof-of-concept of ABX-002 as an adjunctive treatment for patients with major depressive disorder (MDD) and patients with bipolar disorder depression. MDD and bipolar disorder are highly prevalent, debilitating, and life-threatening mental illnesses that affect more than 20 million people and 7 million people in the U.S. alone, respectively.

Firm Advises Seal Rock Therapeutics on Out-Licensing Agreement with GENFIT
On May 31, 2023, clinical-stage company Seal Rock Therapeutics announced an out-licensing agreement with biopharmaceutical company GENFIT to develop an injectable formulation of SRT-015 to treat acute liver disease. Wilson Sonsini Goodrich & Rosati advised Seal Rock on the transaction.

Seattle-based Seal Rock is a privately held company that focuses on developing treatments for severe diseases with limited or no available therapies. SRT-015 is a second-generation liver-selective inhibitor that will be available in an oral formulation to treat severe acute alcoholic hepatitis as well as orphan liver diseases.

As part of the agreement, Seal Rock is eligible to receive up to €100 million, which includes regulatory, clinical, and commercial milestone payments, plus tiered royalties.

Wilson Sonsini Advises Metacrine on Acquisition by Equillium
On September 6, 2022, Equillium, Inc. and Metacrine Inc. announced that the two companies have entered into a definitive merger agreement pursuant to which Equillium will acquire Metacrine in an all-stock transaction. The transaction is anticipated to add $33 million in cash to Equillium’s balance sheet at closing, which is expected to extend the company’s cash runway into 2024. Wilson Sonsini Goodrich & Rosati is advising Metacrine on the transaction.

Through the acquisition, Equillium adds Metacrine’s farnesoid X receptor (FXR) platform, including lead molecule MET642, an orally delivered FXR agonist that is a potential first-in-class, non-immunosuppressive treatment for inflammatory bowel disease (IBD), including ulcerative colitis (UC) and Crohn’s disease. The acquisition is anticipated to close late 2022 pending approval from both Equillium and Metacrine shareholders, Metacrine having minimum net cash of $23 million, and other customary closing conditions.

Wilson Sonsini Advises Ventyx on $174 Million Upsized IPO
On October 25, 2021, Ventyx Biosciences, a clinical-stage biopharmaceutical company focused on advancing new therapies for millions of patients living with inflammatory diseases and autoimmune disorders, announced the closing of its upsized initial public offering of 10,893,554 shares of its common stock, which includes the full exercise of the underwriters’ option to purchase 1,420,898 additional shares, at an initial public offering price of $16.00 per share. The aggregate gross proceeds from the offering were approximately $174.3 million, before deducting underwriting discounts and commissions and offering expenses payable by Ventyx. All shares in the offering were offered by Ventyx and began trading on the Nasdaq Global Select Market on October 21, 2021, under the ticker symbol “VTYX.”

Wilson Sonsini Advises Ventyx Biosciences on $114 Million Financing
On March 9, 2021, Ventyx Biosciences, a clinical-stage biotechnology company advancing a pipeline of immune modulators to treat inflammatory diseases and autoimmune disorders, announced the completion of a $114 million equity financing. The financing was led by venBio Partners alongside investors including Third Point, RTW Investments, Janus Henderson Investors, Wellington Management, OrbiMed, Surveyor Capital (a Citadel company), Farallon Capital, Vivo Capital, Logos Capital, Qiming Venture Partners USA, and Cormorant Asset Management. Founding investor New Science Ventures also participated. Wilson Sonsini Goodrich & Rosati advised Ventyx Biosciences on corporate and patent matters related to the transaction.

Ventyx’s internally discovered and wholly owned portfolio of potent and selective small molecule drug candidates targets multiple indications in the immunology space, including gastrointestinal and dermatological diseases. The company’s pipeline combines the clinical-stage programs of three companies founded by Raju Mohan and New Science Ventures: (1) a tissue selective S1P1R modulator for inflammatory bowel disease (IBD) and other indications that was developed by Oppilan Pharma; (2) a selective allosteric TYK2 inhibitor, developed by Ventyx, that is projected to demonstrate high efficacy and therapeutic utility across a broad range of immunological disorders; and (3) the NLRP3 inhibitor program, created by Zomagen. The first candidate of this program will enter the clinic in the second half of this year.  In addition, the company is leveraging its world-class drug discovery platform to advance preclinical programs against other biologically relevant targets involved in difficult-to-treat inflammatory diseases and autoimmune disorders.
