On April 4, 2022, AMD announced a definitive agreement to acquire Pensando for approximately $1.9 billion before working capital and other adjustments. Pensando’s distributed services platform includes a high-performance, fully programmable packet processor and comprehensive software stack that accelerate networking, security, storage, and other services for cloud, enterprise, and edge applications. The acquisition is expected to close in the second quarter of 2022, following satisfaction of customary closing conditions including approval under the Hart-Scott-Rodino Antitrust Improvements Act of 1976.

Firm Advises Altus on $201.5 Million Acquisition of Reonomy
On November 11, 2021, Altus Group Limited, a leading provider of software, data solutions, and independent advisory services to the global commercial real estate (CRE) industry, announced that it has signed a definitive agreement to acquire Reonomy, a fast-growing, AI-powered data platform for the CRE industry, for $201.5 million, subject to adjustments. Wilson Sonsini is advising Altus on the transaction.

The acquisition accelerates Altus’ innovation and data strategy to solve key CRE challenges with real-time data-driven insights, predictive analytics, and alert capabilities. It also expands Altus’ CRE data and analytics capabilities with complementary and synergistic offerings that can be scaled globally while having the potential to substantially increase the company’s total addressable market. The transaction is expected to close on November 12, 2021.

On June 22, 2021, Hong Kong-based InSilico Medicine, a global leader in end-to-end artificial intelligence for target discovery, small molecule chemistry, and clinical development, announced that it has closed a $255 million Series C financing led by Warburg Pincus. The financing included participation by current investors including Qiming Venture Partners, Pavilion Capital, Eight Roads Ventures, Lilly Asia Ventures, Sinovation Ventures, BOLD Capital Partners, Formic Ventures, and Baidu Ventures and new investors including CPE, Hillhouse Capital, OrbiMed, Mirae Asset, B Capital Group, Deerfield Management, Maison Capital, Lake Bleu Capital, President International Development Corporation, Sequoia Capital China, and Sage Partners.
