On September 9, 2025, Dropbox, Inc. announced an amendment to its existing Credit and Guaranty Agreement, providing the company with a secured term loan facility in an aggregate principal amount of up to $2.7 billion, consisting of $1 billion of existing term loans, $1 billion of existing delayed draw term loans, and $700 million of 2025 delayed draw term loans. The amended facility was led and substantially provided by Blackstone Credit & Insurance. Proceeds of the additional delayed draw term loans may only be used to repay Dropbox’s outstanding convertible senior notes due in 2026. Wilson Sonsini Advises Autodesk on $1.5 Billion Credit Facility
On May 8, 2025, Autodesk, Inc., a global leader in design and engineering software, entered into a credit agreement with Citibank, N.A. and certain other parties thereto, which provides for an unsecured revolving loan facility in an aggregate principal amount of $1.5 billion. The credit agreement permits Autodesk to increase the commitments thereunder by an additional $500.0 million, subject to the satisfaction of certain conditions, including the obtaining of additional commitments for such increase. The proceeds of loans under the revolving loan facility may be used for working capital and general corporate purposes. Wilson Sonsini Goodrich & Rosati advised Autodesk on the transaction.

On May 8, 2025, Redaptive, a leading Energy-as-a-Service (EaaS) provider, announced the successful closing of a $650 million credit facility from CDPQ, a global investment group, and Nuveen, the investment manager of TIAA. This facility strengthens Redaptive's ability to scale its innovative platform, meet accelerating customer demand, and deliver measurable business value through energy efficiency, renewable generation, and data-driven building performance. Wilson Sonsini Goodrich & Rosati advised Redaptive in connection with corporate aspects of the transaction.

Redaptive will leverage this capital to continue its support of enterprise customers with data-driven efficiency and energy generation programs, including HVAC, LED lighting, solar, storage and metering solutions, and other upgrades that can be deployed at large-scale multi-site portfolios. This additional financing will enable Redaptive to expand its reach, increase project deployments, and further develop its solutions across the U.S., Canada, and certain European jurisdictions.

Wilson Sonsini Advises Dropbox on $2 Billion Secured Credit Facility
On December 11, 2024, Dropbox announced that it entered into a Credit and Guaranty Agreement for a secured term loan facility in an aggregate principal amount of up to $2 billion, consisting of initial term loans in an aggregate principal amount of up to $1.0 billion and delayed draw term loans in an aggregate principal amount of up to $1.0 billion. The facility was led and substantially provided by Blackstone Credit & Insurance, who served as lead arranger and lead structuring agent.  The proceeds of the term loans may be used for working capital and general corporate purposes, including share repurchases.

On May 1, 2024, DoorDash announced that the company entered into an amendment agreement pursuant to which its existing revolving credit and guaranty agreement was amended and restated in its entirety to provide for an increase in the existing unsecured revolving loan facility from $400 million to an aggregate principal amount of up to $800 million, with an increase to the letter of credit sublimit from $200 million to $600 million. The amendment agreement also extended the maturity date for the revolving credit facility from August 7, 2025, to April 26, 2029.
