On August 7, 2025, Apreo Health, a clinical-stage medical device company developing a novel treatment for severe emphysema, announced the closing of an oversubscribed $130 million Series B financing round. Wilson Sonsini Represents Thorne HealthTech in Sale to L Catterton
On August 28, 2023, Thorne HealthTech, Inc., a leader in delivering innovative solutions for a personalized approach to health and wellness, announced that it has entered into a definitive agreement under which L Catterton, a leading global consumer-focused investment firm, will commence a tender offer to acquire all outstanding shares of common stock of Thorne for $10.20 per share in cash. The transaction value of approximately $680 million represents a 94 percent premium to the unaffected closing share price on July 20, 2023, and a 113 percent premium to the 30-day volume weighted average price as of the unaffected date of July 20, 2023. Thorne's independent Special Committee and board of directors have each unanimously approved the agreement and recommend that Thorne’s stockholders tender their shares into the tender offer. Wilson Sonsini Goodrich & Rosati represented Thorne and the Special Committee of the board of directors in the transaction.
The transaction is expected to be completed in the fourth quarter of 2023, subject to customary closing conditions. Subject to the terms and conditions of the agreement, following the completion of the tender offer, L Catterton will acquire any shares of Thorne that are not tendered in the tender offer through a second-step merger for $10.20 per share in cash. Upon completion of the transaction, Thorne will become a privately held company and its shares of common stock will no longer be listed on any public market.

On June 22, 2021, Codex DNA announced the closing of its initial public offering of 7,666,664 shares of common stock, including the full exercise of the underwriters’ option to purchase up to 999,999 additional shares of common stock, at a public offering price of $16.00 per share. The aggregate gross proceeds to Codex DNA from the offering were approximately $122.7 million, before deducting underwriting discounts and commissions and other offering expenses. All of the shares in the offering were offered by Codex DNA. The company's common stock began trading on The Nasdaq Global Select Market on June 18, 2021, under the ticker symbol "DNAY."

On April 20, 2021, Recursion Pharmaceuticals, Inc., of Salt Lake City announced the closing of its initial public offering of 27,878,787 shares of its Class A common stock, which includes the exercise in full of the underwriters' option to purchase 3,636,363 additional shares of its Class A common stock, at a price to the public at $18.00 per share, a price at the top end of its expected pricing range. Including the option exercise, the gross proceeds from the offering were $501.8 million, before deducting underwriting discounts and commissions and other offering expenses payable by Recursion. All of the shares were offered by Recursion. The shares began trading on the Nasdaq Global Select Market on April 16, 2021, under the symbol "RXRX."
